Net Wholesale Price definition

Net Wholesale Price means the gross list price published by Distributor, ex-factory, to its wholesale customers for the Licensed Products.
Net Wholesale Price means any and all gross sales of Licensed Articles by Licensee or any of its affiliated, associated or subsidiary companies, without any deductions whatsoever (including, without limitation, uncollectible accounts, manufacturing, distribution, advertising, marketing or promotion costs and cash, trade or other discounts), except for actual returns not exceeding five percent (5%) of gross sales. Credit against sales will be allowed only for actual returns, and no credit will be allowed against sales based on an accrual or reserve system. The foregoing royalty will be payable on all Licensed Article(s) distributed by Licensee, including Licensed Article(s) not billed, except for a reasonable number of samples which may be given away in the normal corse of business, not to exceed five percent (5%) of Licensee’s total production. The Guarantee is payable, to the extent not then already paid to CBS as an Advance or Royalty no later than three (3) months prior to the expiration of the Term or earlier termination of this Agreement.
Net Wholesale Price means the price Den-Mat charges per Lumineer tooth as it is invoiced to the end customer from Den-Mat's perspective (e.g., the dentist, group practice corporation, distributor), net of any returns, discounts, special pricing, rebates or additional reasonable price deductions; provided, however, the Net Wholesale Price will regard only the price of the individual tooth (i.e., if teeth are sold in an arch for a set price in a Tray, the "price" of the Tray should be split out and deducted).
