Net Warrant Shares definition

Net Warrant Shares means, with respect to each Warrant, an amount equal to the quotient obtained by dividing (i) product of (x) the Fair Market Value Per Share minus the per share exercise price of such Warrant, multiplied by (y) the aggregate number of shares of Digital Capital Stock issuable upon the exercise in full of such Warrant (and subsequent conversion of the Digital Preferred Stock to Digital Common Stock with respect to Warrants exercisable for Digital Preferred Stock), by (ii)
Net Warrant Shares means a number of whole shares of Common Stock, and cash in lieu of any fractional share at the MP price (defined below), determined as described by the following formula: Net Warrant Shares = [WS x (MP-EP)]/MP. "WS" is the number of Warrant Shares issuable upon exercise of the Warrant or portion of the Warrant in question. "EP" shall mean the Exercise Price. "MP" is the Market Price of the Common Stock on the last trading day preceding the date of the request to exercise the Warrant. "Market Price" on any day shall mean the average of the closing prices on such day of the Common Stock on all domestic exchanges on which the Common Stock is then listed, or, if there shall have been no sales on any such exchange on such day, the average of the highest bid and lowest asked prices on all such exchanges at the end of such day, or, if the Common Stock shall not be so listed, the average of the representative bid and asked prices quoted in the NASDAQ National Market System as of 3:30 p.m., New York time, on such day, or if the Common Stock shall not be quoted in the NASDAQ National Market System, the average of the high and low bid and asked prices on such day in the domestic over-the-counter market as reported by the National Quotation Bureau, Incorporated, or any similar successor organization. Upon the exercise of the Warrant for Net Warrant Shares, the number of shares for which the Warrant is thereafter exercisable shall be reduced by the corresponding number of Warrant Shares determined in accordance with such formula (giving effect to any fractional Net Warrant Share).
Net Warrant Shares means that number of shares of Company Stock which the holder of a Company Warrant is entitled after giving effect to a “Cashless Exercise” of such Company Warrant, as such term is defined in the Company Warrant.

  • The number of Net Warrant Shares deliverable upon such exercise will be determined by the following formula: Net Warrant Shares = [WS x (CP - EP)]/CP, where “WS” is the gross number of Warrant Shares as to which this Warrant is to be exercised; “CP” is the average market price of the Common Stock on the ten (10) trading days preceding the date of the request to exercise this Warrant; and “EP” shall mean the then applicable Exercise Price.

  • Common Warrant Shares means the shares of Common Stock issuable upon exercise of the Common Warrants.
