  • The Company may exclude the Mogutov Director from meetings of the Board or its committees if (i) attendance would violate any applicable securities laws or listing requirements or (ii) the Board reasonably determines that such exclusion is necessary with respect to any matter in which such director holds any interest adverse to the Company or its subsidiaries.
