Without the express prior written consent of Lender, Borrower shall not, and Borrower shall not cause, suffer or permit Mezzanine A Borrower to, enter into, execute, deliver, or consent to, as the case may be, any assignment-in-lieu or consensual foreclosure with or for the benefit of Mezzanine A Lender or any of its Affiliates, successors, or designees; and delivery of an assignment-in-lieu of foreclosure shall be construed as a Transfer that is not permitted hereunder.
Borrower shall or shall cause Mezzanine A Borrower to from time to time, use reasonable efforts to obtain from Mezzanine A Lender such estoppel certificates with respect to the status of the Mezzanine A Loan and compliance by Mezzanine A Borrower with the terms of the Mezzanine A Loan Documents as may reasonably be requested by Lender.
Since the date of such financial statements, there has been no materially adverse change in the financial condition, operations or business of Borrower, Mezzanine A Borrower, Mortgage Borrower or Guarantor from that set forth in said financial statements.
Borrower shall not permit Mezzanine A Borrower to enter into or be bound by any new Mezzanine A Loan Documents after the date hereof, agree to any modifications, consolidation, restatement, or waiver of any existing Mezzanine A Loan Documents, grant to Mezzanine A Lender any consent or waiver, or exercise any remedy available to Mezzanine A Borrower under the Mezzanine A Loan Documents or any right or election under the Mezzanine A Loan Documents, in each case without the prior written approval of Lender.
Without obtaining the prior written consent of Lender, Borrower shall not cause or permit Mezzanine A Borrower to refinance the entire Mezzanine A Loan unless such refinancing is in an amount sufficient to repay the entire Debt and the proceeds of the refinance are so used to repay the entire Debt.
