LSC Parent definition

LSC Parent means the Person that is, as of the relevant time in question following the LSC Distribution Date, the ultimate parent of LSC with direct or indirect Control over LSC.

  • Notwithstanding anything in this Agreement to the contrary, Seller shall not knowingly Transfer to any Person or Group (whether such Person or Group is purchasing Voting Equity Interests for its or their own account(s) or as fiduciary on behalf of one (1) or more accounts) Voting Equity Interests to a Person that has engaged in a proxy contest or other activist campaign (with respect to LSC Parent or any other Person).

  • LSC Parent shall in good faith use commercially reasonable efforts to address any comments from the SEC regarding the Registration Statement and to advocate with the SEC for the registration of all Registrable Securities requested to be included in the Registration Statement.

  • Except as expressly provided herein, this Agreement may be amended only by a written agreement executed by Seller and LSC Parent.

  • If LSC Parent is a WSKI at the time of filing of a Registration Statement pursuant to this ARTICLE II, LSC Parent will undertake to register the Registrable Securities on an Automatic Shelf Registration Statement to effect such registration.

  • Each holder of Registrable Securities agrees to execute and deliver such other agreements as may be reasonably requested by LSC Parent or the managing underwriter which are consistent with the foregoing or which are necessary to give further effect thereto.

  • This Agreement and the rights hereunder may not be assigned or otherwise transferred by any Holder to any other Persons without the prior written consent of LSC Parent.

  • In no event shall LSC Parent be obligated to effect any Shelf Registration other than pursuant to a Form S-3 (or any comparable or successor form or forms or any similar short form registration covering the resale of such Registrable Securities) if LSC Parent is then eligible to use Form S-3 (or such comparable or successor form) for the registration of the Registrable Securities under the Securities Act.

  • Upon the request of the Registration Equityholders, LSC Parent will deliver to the Registration Equityholders a written statement as to whether it has complied with such requirements and, if not, the specifics thereof.

  • Subject to the terms of this Agreement, LSC Parent shall in good faith use its commercially reasonable efforts to cause the Registration Statement filed pursuant to this ARTICLE II to be declared or become effective under the Securities Act as promptly as possible after the filing thereof.

  • The lead underwriter to administer a Shelf Registration shall be chosen by LSC Parent, subject to the prior written consent, not to be unreasonably withheld, delayed or conditioned, of Seller.

  • SAP Parent means SAP SE, a European Company (Societas Europaea, SE) established under the laws of Germany and the European Union, registered with the commercial register of the local court of Mannheim, Germany, under HRB 719915, with registered office in Walldorf, Germany, and business address at Dietmar-Hopp-Allee 16, 69190 Walldorf, Germany.

  • New Parent shall have the meaning assigned to such term in the definition of the term “Change in Control”.

  • Ultimate Parent means a Company, which owns not less than fifty-one percent (51%) equity either directly or indirectly in the Parent and Affiliates.

  • Parent means a “parent corporation,” whether now or hereafter existing, as defined in Section 424(e) of the Code.

  • Seller Parent has the meaning set forth in the Preamble.

  • Merger Subsidiary has the meaning set forth in the preamble to this Agreement.

  • Parent Parties has the meaning set forth in ARTICLE V.

  • Spinco Subsidiaries means all direct and indirect Subsidiaries of Spinco immediately following the Contribution.

  • Ultimate Parent Company means a company which owns at least twenty six percent (26%) equity in the Bidding Company or Member of a Consortium, (as the case may be) and in the Technically Evaluated Entity and/or Financially Evaluated Entity (as the case may be) and such Bidding Company or Member of a Consortium, (as the case may be) and the Technically Evaluated Entity and/or Financially Evaluated Entity (as the case may be) shall be under the direct control or indirectly under the common control of such company;

  • Intermediate Parent means any Subsidiary of Holdings and of which the Borrower is a subsidiary.

  • Acquisition Sub shall have the meaning set forth in the Preamble.

  • Initial Borrower has the meaning set forth in the preamble hereto.

  • Ultimate Parent Entity means a Constituent Entity of an MNE Group that meets the following criteria:

  • SpinCo Entities means the entities, the equity, partnership, membership, limited liability, joint venture or similar interests of which are set forth on Schedule IV under the caption “Joint Ventures and Minority Investments.”

  • Intermediate Holdco as defined in the preamble to this Agreement.

  • Permitted Parent means (a) any Parent Entity that at the time it became a Parent Entity was a Permitted Holder pursuant to clauses (1), (2) and (3) of the definition thereof; provided that such Parent Entity was not formed in connection with, or in contemplation of, a transaction (other than the Transactions) that would otherwise constitute a Change in Control and (b) Holdings, so long as it is controlled by one or more Persons that are Permitted Holders pursuant to clause (1), (2), (3) or (4) of the definition thereof.

  • Intermediate Holding Company means any Subsidiary of Holdings (of which Holdings, directly or indirectly, owns 100% of the issued and outstanding Equity Interests) that, directly or indirectly, owns 100% of the issued and outstanding Equity Interests of the Lead Borrower.

  • Parent Subsidiaries means the Subsidiaries of Parent.

  • Parent Companies means, collectively, (i) Charter, (ii) Charter Holdings, (iii) Charter Communications Holding Company, LLC, a Delaware limited liability company, and (iv) CCH II.
