Liquidity Test Amount definition

Liquidity Test Amount means, as of any date of determination, the sum of (i) the aggregate amount of the unrestricted, domestic cash on hand of the Company and the other domestic Loan Parties as of such date, (ii) the amount of commitments available to be drawn under the Transpacific Revolving Credit Facility and the Multicurrency Revolving Credit Facility as of such date, and (iii) the aggregate amount of commitments available to be drawn under each Permitted Receivables Financing.
Liquidity Test Amount means, with respect to any Repayment Testing Date, the sum of (i) $30,000,000, plus (ii) the aggregate amount of outstanding Obligations as of such Repayment Testing Date, minus (iii) the Six Month Cash Burn Amount as of such Repayment Testing Date. An illustrative example of a hypothetical calculation of the “Liquidity Test Amount” and “Liquidity” as of a Repayment Testing Date is set forth on Annex IV hereto.
Liquidity Test Amount means the NIS Equivalent of the amount equal to (i) the amount of interest required to be paid by the B-Com Group with respect to its outstanding Indebtedness (including the Notes) during any twelve-month period beginning on the date on which the event for which the calculation of the Liquidity Test Amount is made (the “Calculation Date”) plus (ii) the amount of the Notes and the Existing Unsecured Notes (or any Indebtedness used to refinance any of the foregoing (whenever Incurred) (provided such refinancing Indebtedness has a Weighted Average Life to Maturity equal to or greater than the Indebtedness refinanced)), plus accrued and unpaid interest, with a Stated Maturity (including under any sinking fund, amortization or partial repayment provision) occurring during any such twelve-month period.

  • Collateral Interest Amount As of any date of determination, without duplication, the aggregate amount of Interest Proceeds that has been received or that is expected to be received (other than Interest Proceeds expected to be received from Defaulted Obligations, but including Interest Proceeds actually received from Defaulted Obligations), in each case during the Collection Period in which such date of determination occurs (or after such Collection Period but on or prior to the related Payment Date if such Interest Proceeds would be treated as Interest Proceeds with respect to such Collection Period).

  • Excess Cash Flow Payment Date means the earlier of (a) the date occurring 90 days after the last day of each fiscal year of the Borrower (commencing with the fiscal year of the Borrower ending December 31, 2018) and (b) the third Business Day following the date on which financial statements with respect to such period are delivered pursuant to Section 5.01(c).

  • Excess Cash Flow Payment Period means, with respect to any Excess Cash Flow Payment Date, the immediately preceding fiscal year of the Borrower.

  • Calculation Amount means the amount specified as such on the face of any Note, or if no such amount is so specified, the Denomination Amount of such Note as shown on the face thereof;
