To effect such automatic exchange, the Company will (A) deliver to the Depositary an instruction letter for the Depositary’s mandatory exchange process within a period of time that is reasonably likely to result in such exchange occurring on or prior to the 375th day after the Last Original Issuance Date and (B) deliver to each of the Trustee and the Registrar a duly completed Free Transferability Certificate promptly after the Free Trade Date.
The Company will use reasonable efforts to cause the Notes (other than the Affiliate Notes), to bear an unrestricted CUSIP number no later than the 375th day after the Last Original Issuance Date of the Notes, subject to DTC procedures.
If, and for so long as, the Restricted Notes Legend has not been removed from any Notes, any Notes are assigned a restricted CUSIP number or any Notes are not otherwise Freely Tradable, in each case as of the 365th day after the Last Original Issuance Date of such Notes, the Company will pay Additional Interest on such Notes.
The Company will use its reasonable best efforts to cause each Note, to bear an unrestricted CUSIP number no later than the 365th day after the Last Original Issuance Date of such Note, subject to the Depositary’s procedures.
Last Original Issuance Date: The term “Last Original Issuance Date” means the last date of original issuance of the Notes.
