Original Issuance Date definition

Original Issuance Date means the date of the first issuance of this Debenture regardless of the number of transfers hereof.
Original Issuance Date means the date of closing pursuant to the Investment Agreement.
Original Issuance Date means the Closing Date, as defined in the Investment Agreement.

  • If the Company at any time on or after the Original Issuance Date combines (by combination, reverse stock split or otherwise) one or more classes of its outstanding shares of Common Stock into a smaller number of shares, the Exercise Price in effect immediately prior to such combination will be proportionately increased and the number of Warrant Shares will be proportionately decreased.

  • If the Company at any time on or after the Original Issuance Date subdivides (by any stock split, stock dividend, recapitalization or otherwise) one or more classes of its outstanding shares of Common Stock into a greater number of shares, the Exercise Price in effect immediately prior to such subdivision will be proportionately reduced and the number of Warrant Shares will be proportionately increased.

  • The Holder may exercise this Warrant at any time or from time to time and after the Original Issuance Date and before 5:00 p.m., Eastern Time, on February 11, 2027, on any business day in a cashless exercise transaction.

  • The Company will use reasonable efforts to cause the Notes (other than the Affiliate Notes), to bear an unrestricted CUSIP number no later than the 375th day after the Last Original Issuance Date of the Notes, subject to DTC procedures.

  • To effect such automatic exchange, the Company will (A) deliver to the Depositary an instruction letter for the Depositary’s mandatory exchange process within a period of time that is reasonably likely to result in such exchange occurring on or prior to the 375th day after the Last Original Issuance Date and (B) deliver to each of the Trustee and the Registrar a duly completed Free Transferability Certificate promptly after the Free Trade Date.

Original Issuance Date means the date of original issuance of the first share of Series A Preferred Stock.
