LACERA Records definition

LACERA Records means records related to any pertinent transaction, activity, time sheets, cost, billing, accounting and financial records, proprietary data, electronic recordings, and any other records created in connection with this Agreement;

Examples of LACERA Records in a sentence

  • Upon termination of this Agreement, Actuary shall retain all LACERA Records (as that term is defined in Section 12 below) according to the record retention provisions set forth in Section 12 below, or if required by LACERA, promptly deliver the LACERA Records to LACERA or to such other party designated by LACERA.

  • Upon termination of this Agreement and at any time LACERA requests physical possession of the LACERA Records as permitted by this Agreement, Manager shall, and shall cause its Agents to, promptly deliver the LACERA Records to LACERA at Manager’s cost and expense.

  • Record Retention and Inspection Record Maintenance Manager shall keep and maintain all records related to the Managed Assets, including but not limited to any LACERA Records, for the longer of (1) the period they are required to be kept and maintained under applicable statutory law and SEC Regulations, or (2) according to Manager’s record retention standards, but in no event for less than seven (7) years following the termination of this Agreement.

  • Upon termination of this Agreement, Manager shall retain all LACERA Records according to the record retention provisions set forth in Section 32 below, or if required by LACERA, promptly deliver the LACERA Records to LACERA or to such other party designated by LACERA.

  • Manager shall make the persons responsible for creating and maintaining LACERA Records available to LACERA during such review for the purpose of responding to LACERA’s reasonable inquiries.

  • Acknowledgment of Ownership Manager acknowledges that the LACERA Records are the property of LACERA for all purposes and upon (1) the expiration or earlier termination of this Agreement and (2) LACERA’s request, Manager shall promptly deliver to LACERA all LACERA Records.

  • Manager xxxx xxxxxxxxx with LACERA with respect to the change of possession of the LACERA Records.

  • After the minimum retention period has expired, Manager will give LACERA at least sixty (60) days’ notice of its intent to dispose of the LACERA Records and LACERA will have the right to take possession of such records prior to disposal.

  • Record Review and Audit Manager agrees that XXXXXX, or any duly authorized representative of LACERA, shall have access to and the right to examine, audit, excerpt, copy, or transcribe any LACERA Records at any time during the term of this Agreement, or at any time for up to seven (7) years after the expiration or earlier termination of this Agreement.

  • Manager shall maintain the confidentiality of all information, data, and records (including LACERA Records) in any form from any source related to the services provided hereunder, including, but not limited to LACERA Information.

Related to LACERA Records

  • Pupil Records Means both of the following: (1) Any information that directly relates to a pupil that is maintained by LEA and (2) any information acquired directly from the pupil through the use of instructional software or applications assigned to the pupil by a teacher or other local educational LEA employee.

  • Public records means all writings and recordings that consist of letters, words or numbers, or their equivalent, set down by handwriting, typewriting, printing, photostatting, photography, magnetic impulse, optical or magneto-optical form, mechanical or electronic recording or other form of data compilation, however stored, and regardless of physical form or characteristics, prepared or owned by, or in the possession of a public body or its officers, employees or agents in the transaction of public business.

  • Client Records has the meaning set forth in Section 3.14.

  • Vital records means certificates or reports of birth, death, fetal death, marriage, dissolution, annulment, and related data.

  • Business Records means all records and information of any description or type created or used in the ordinary course of the operation of the Business.

  • confidential records means those portions of correspondence, memoranda, files, manuals, books, lists, financial, operating or marketing records, magnetic tape, or electronic or other media or equipment of any kind in Executive’s possession or under Executive’s control or accessible to Executive which contain any proprietary information. All confidential records shall be and remain the sole property of the Company during the Term and thereafter.

  • Records means any written or recorded information, regardless of physical form or characteristics, which is produced or acquired by the Party in the performance of this agreement. Records produced or acquired in a machine readable electronic format shall be maintained in that format. The records described shall be made available at reasonable times during the period of the Agreement and for three years thereafter or for any period required by law for inspection by any authorized representatives of the State or Federal Government. If any litigation, claim, or audit is started before the expiration of the three-year period, the records shall be retained until all litigation, claims or audit findings involving the records have been resolved.

  • Electronic Record(s means the electronic record as defined under clause (t) of subsection (1) of section 2 of the Information Technology Act, 2000.

  • Medical Records the Study Subjects’ primary medical records kept by the Institution on behalf of the Study Subjects, including, without limitation, treatment entries, x-rays, biopsy reports, ultrasound photographs and other diagnostic images.   • Transferred Books and Records means all books, ledgers, files, reports, plans, records, manuals and other materials (in any form or medium) to the extent of, or maintained predominantly for, the Business by the Seller’s Group (other than emails), including (without limitation) all books, records and other materials relating to the research, development and pre-clinical trials for each of the Products and the Product Expansions but excluding:

  • Land Records means the property records maintained by the Recorder of Deeds for the District of Columbia.

  • Financial Records means any document or summary of information contained in a document, including electronic documents, that contains information about the financial activities or position of a person including, but not limited to, information about the assets, balance sheets, budgets, cash flow, earnings, revenue, expenditures, income, investments, losses, liabilities, payroll, profits, retained earnings, or taxes.

  • Books and Records means all books, records, board minutes, contracts, licenses, insurance policies, environmental audits, business plans, files, computer files, computer discs and other data and software storage and media devices, accounting books and records, financial statements (actual and pro forma), filings with Governmental Authorities and any and all records and instruments relating to the Collateral or otherwise necessary or helpful in the collection thereof or the realization thereupon.

  • Educational records means: those official records, files, and data directly related to a student and maintained by the school or local education agency, including but not limited to records encompassing all the material kept in the student's cumulative folder such as general identifying data, records of attendance and of academic work completed, records of achievement and results of evaluative tests, health data, disciplinary status, test protocols, and individualized education programs.

  • Excluded Books and Records has the meaning set forth in Section 2.2(a).

  • Education records means an education record as defined in the Family Educational Rights and Privacy Act and its implementing regulations, 20 USC Section 1232g and 34 CFR Part 99, respectively.
