Keane Parties means SJK Family Limited Partnership, LP, KCK Family Limited Partnership, LP, Tim Keane, Brian Keane, Shawn Keane, Jacquelyn Keane, Cindy Keane and Kevin Keane.
Selling Parties shall have the meaning specified in the preamble.
Local Parties shall be defined as the Board or the local OSSTF/FEESO bargaining unit party to a collective agreement.
Investor Parties has the meaning set forth in the Preamble.
Licensee Parties has the meaning ascribed to such term in Section 5.1.
Settling Parties means, collectively, Plaintiffs, all Settlement Class Members, and Defendants.
Seller Parties has the meaning set forth in the preamble to this Agreement.
Parent Parties has the meaning set forth in ARTICLE V.
Parties has the meaning set forth in the Preamble.
Covered Parties has the meaning set forth in Section 6.7(a).
Party/Parties means Buyer and Seller individually/collectively.
Buyer Parties means Buyer, its Affiliates, their members, officers, directors, employees, agents, representatives, successors, and assigns.
Bank Parties means Administrative Agent and the Banks.
Warrantors means the Founders, the Founder Holdcos and the Group Companies.
Purchaser Parties means, collectively, the Purchasers and any of their respective former, current or future directors, officers, employees, agents, general or limited partners, managers, members, stockholders, Affiliates or assignees or any former, current or future director, officer, employee, agent, general or limited partner, manager, member, stockholder, Affiliate or assignee of any of the foregoing.
Company Parties means the collective reference to Holdings and its Restricted Subsidiaries, including the Borrower, and “Company Party” means any one of them.
Contracting Parties has the meaning set forth in Section 9.14.
Note Parties means, collectively, the Company and each Guarantor.
Concert Parties means such persons as are deemed to be Acting in Concert with Mediahuis or INM (as the context so requires) pursuant to Rule 3.3 of Part A of the Takeover Rules, and such persons as are Acting in Concert with that party;
Partnership Parties has the meaning assigned to such term in the preamble.
Financing Parties means Parties financing the Project, pursuant to Financing Documents.
Applicable Parties has the meaning assigned to it in Section 8.03(c).
Party and Parties means the Settling Defendants, the Plaintiffs, and, where necessary, the Settlement Class Members.
Covenantors means the Group Companies, the Founder and the Founder Holding Company, and a “Covenantor” means any of the Covenantors.
Backstop Parties means, collectively, the Initial Backstop Parties and the Additional Backstop Parties.
Commitment Parties means the “Commitment Parties” as defined in the Commitment Letter.
Consortium Members means the members of the Consortium, formed by the Bidder for purposes of the Transaction in accordance with this RFP and shall include members who have submitted the Format for Consortium Agreement (Annexure 5) specified in the RFP.
