Información Exceptuada significa información que: (a) el Receptor o cualquiera de sus Representantes tuviera legítimamente en su poder, según se demuestre mediante pruebas idóneas, antes de que la Parte Reveladora la haya revelado con arreglo a este Acuerdo; o (b) estuviere generalmente disponible y fuere de dominio público en el momento de la revelación o pasare a ser pública (sin que medie infracción de este Acuerdo por el Receptor o sus Representantes); (c) el Receptor o alguno de sus Representantes obtenga legítimamente de una Persona que no haya incumplido una obligación de confidencialidad (u otra prohibición de revelar la información) frente a la Parte Reveladora, respecto de dicha información (y que el Receptor
Información Exceptuada significa información que: (a) el Receptor o cualquiera de sus Representantes tuviera legítimamente en su poder, según se demuestre mediante pruebas idóneas, antes de que la Parte Divulgante la haya divulgado con arreglo a este Acuerdo; o (b) estuviere generalmente disponible y fuere de dominio público en el momento de la divulgación o pasare a ser pública (sin que medie infracción de este Acuerdo por el Receptor o sus Representantes); (c) el Receptor o alguno de sus Representantes obtenga legítimamente de una Persona que no haya incumplido una obligación de confidencialidad (u otra prohibición de divulgar la información) frente a la Parte Divulgante, respecto de dicha información (y que el Receptor haya hecho indagaciones razonables al respecto); o (d) el Receptor compruebe, a satisfacción razonable de la Parte Divulgante, fue desarrollada independientemente por el Receptor o sus Representantes o en su nombre, sin hacer uso, mención o ayuda o sustento en la Información Confidencial. Para aclarar lo anterior, la divulgación entre el público general no hará que información más concreta (pero conexa) sea considerada Información Exceptuada bajo alguna de las citadas excepciones; de igual forma, la combinación de distintas piezas de información, que individualmente sería considerada Información Exceptuada, no será considerada Información Exceptuada a menos que esa combinación sea de dominio público, desarrollada independientemente por el Receptor o sus Representantes o que se encuentre legítimamente en posesión del Receptor o de alguno de sus Representantes.

  • Environmental Site Assessment means a Phase I environmental report meeting the requirements of the American Society for Testing and Materials, and, if in accordance with customary industry standards a reasonable lender would require it, a Phase II environmental report, each prepared by a licensed third party professional experienced in environmental matters.

  • GLJ Report means the independent engineering reserves evaluation of certain oil, NGL and natural gas interests of the Company prepared by GLJ dated February 11, 2022 and effective December 31, 2021.

  • Phase I Environmental Site Assessment means a Phase I environmental property assessment of the Assets that satisfies the basic assessment requirements set forth under the current ASTM International Standard Practice for Environmental Site Assessments (Designation E1527-13) or any other visual site assessment or review of records, reports or documents.

  • Transparency Reports means a report in accordance with Schedule 7 Part 1 (Transparency Reports) containing the contract information as set out in the table for that Part for publication by the Authority in the interests of transparency.

  • Data Room Information means the information and documents listed in the index of documents contained in the Data Site attached to the Company Disclosure Letter;

  • SOS Reports means the official reports from the Secretaries of State of each Collateral State, the state where Borrower’s chief executive office is located, the state of Borrower’s formation and other applicable federal, state or local government offices identifying all current security interests filed in the Collateral and Liens of record as of the date of such report.

  • Geotechnical report or "geotechnical analysis" means a scientific study or evaluation conducted by a qualified expert that includes a description of the ground and surface hydrology and geology, the affected land form and its susceptibility to mass wasting, erosion, and other geologic hazards or processes, conclusions and recommendations regarding the effect of the proposed development on geologic conditions, the adequacy of the site to be developed, the impacts of the proposed development, alternative approaches to the proposed development, and measures to mitigate potential site-specific and cumulative geological and hydrological impacts of the proposed development, including the potential adverse impacts to adjacent and down-current properties. Geotechnical reports shall conform to accepted technical standards and must be prepared by qualified professional engineers or geologists who have professional expertise about the regional and local shoreline geology and processes.

  • SOFRi means the SOFR for:

  • Seller Financial Statements has the meaning set forth in Section 3.5(a).

  • Company Financial Statements has the meaning set forth in Section 3.6(a).

  • EFTPOS means electronic funds transfer at the point of sale—a network for facilitating transactions at point of sale

  • Exception Report As defined in the Custodial Agreement.

  • E-Statement means an electronic version of daily confirms, monthly, quarterly or annual statements, and shareholder tax statements created with investor transaction data housed on DST’s TA2000® mutual fund record keeping system, with images available online via a secure web site.

  • Accessible Letter(s) means the correspondence used to communicate pertinent information regarding AT&T- 21STATE to the CLEC community and is (are) provided via posting to the AT&T CLEC Online website.

  • Project Management Report means each report prepared in accordance with Section 4.02 of this Agreement;

  • SOFR means a rate equal to the secured overnight financing rate as administered by the SOFR Administrator.

  • Site Assessment means an environmental assessment report for the Mortgaged Property prepared at Borrower’s expense by a qualified environmental consultant engaged by Borrower, or by Lender on behalf of Borrower, and approved by Lender, and in a manner reasonably satisfactory to Lender, based upon an investigation relating to and making appropriate inquiries to evaluate the risks associated with Mold and any existence of Hazardous Materials on or about the Mortgaged Property, and the past or present discharge, disposal, release or escape of any such substances, all consistent with the most current version of the ASTM 1527 standard (or any successor standard published by ASTM) and good customary and commercial practice.

  • Target Financial Statements has the meaning set forth in Section 3.4(a).
