GMAC Trust definition

GMAC Trust means GMAC Capital Trust I, a Delaware statutory trust, or any similar trust created for the purpose of issuing Trust Preferred Securities in connection with the issuance of Securities under this Indenture.

  • Each Loan Party shall provide at least twenty (20) days’ prior notice to the President’s Designee (or such shorter time as the President’s Designee shall agree) of any proposed sale of Property, investment, contract, commitment, or other transaction (other than a GMAC Trust Disposition) that (x) is not in the ordinary course of business, and (y) is proposed to be entered into with a value in excess of $100,000,000 (a “Material Transaction”).

  • Notwithstanding anything to the contrary in this Indenture, for so long as the U.S. Government is a holder of 100% of the Trust Preferred Securities of a series of a GMAC Trust, the U.S. Government shall on its own behalf as the Holder of such series of Trust Securities, have the right to waive any Default or Event of Default with respect to the related series of Securities.

  • If Securities of any series are to be issued as a Global Security in connection with the distribution of such Securities to the holders of the Trust Preferred Securities of a series of a GMAC Trust upon a Dissolution Event with respect to such series of such GMAC Trust (or the entire GMAC Trust) and the Trust Preferred Securities are listed on the New York Stock Exchange, Inc.

  • If Securities of any series are to be issued as a Global Security in connection with the distribution of such Securities to the holders of the Trust Preferred Securities of a GMAC Trust upon a Dissolution Event with respect to such GMAC Trust and the Trust Preferred Securities are listed on the New York Stock Exchange, Inc.

  • No Pledgor will sell or otherwise dispose of, grant any option with respect to, or mortgage, pledge or otherwise encumber any of the Collateral except in accordance with the terms of this Agreement and the Loan Documents, including, without limitation, the GMAC Trust Disposition, or as may otherwise be agreed to in writing by the Pledgee.

  • Titling Trust means GE TF Trust, a Delaware statutory trust.

  • Vehicle Trust Agreement has the meaning set forth in the Recitals.
