Securitization Trust definition

Securitization Trust means a trust formed pursuant to a Securitization pursuant to which one or more of the Notes are held.
Securitization Trust means a trust formed pursuant to a Securitization pursuant to which Note X-0, Xxxx X-0, Xxxx X-0 or Note A-4 is held.
Securitization Trust means the Lead Securitization Trust or any trust formed in connection with the Securitization of any Non-Standalone Note, as the context may require.

  • For the avoidance of doubt, the representations in Section 11 shall not be binding upon any Securitization Trust.

  • Notwithstanding the preceding sentence, if a Note is held by a Securitization Trust at a time when its Note Holder would be entitled to receive any amount under such preceding sentence, such amount shall be remitted to the Person that was the Note Holder of such Note immediately prior to the transfer of such Note to the depositor for such Securitization.

  • On and after the date of any subsequent Securitization, any Note included in the Securitization Trust related to such Securitization shall be held in the name of the trustee of the related Securitization Trust (and held by a duly appointed custodian therefor) under the related Securitization Servicing Agreement, on behalf of the related Note Holder.

  • If a Holder intends to Transfer its respective Note, or any portion thereof, to an entity that is not a Qualified Institutional Lender, it must first (a) obtain the consent of each non-transferring Holder and (b) if any such non-transferring Holder’s Note is held in a Securitization Trust, provide each of the applicable engaged Rating Agencies for such Securitization Trust with a Rating Agency Confirmation.

  • Additionally, for as long as any Note is contained in a Securitization Trust, the Note Holders shall not amend or modify this Agreement without first receiving a Rating Agency Confirmation from each Rating Agency then rating any securities issued in a Securitization.


More Definitions of Securitization Trust

Securitization Trust shall have the meaning specified in Section 6.7(a) of the Sale and Servicing Agreement.
