German Guarantors definition

German Guarantors means Robec Walzen GmbH, formerly known as Xxxxx Xxxxxxxx Forschungs- und Entwicklungs GmbH (also as universal successor of Robec GmbH), Xxxxx Xxxxxxxx XX, Xxxxx. Xxxxxxx Germany GmbH, formerly known as Wangner Beteiligungsgesellschaft mbH (also as universal successor of Wangner Service GmbH, Wangner Verwaltungsgesellschaft mbH and Wangner Finckh GmbH & Co. KG).
German Guarantors means (a) each Subsidiary of the US Borrower (other than an Unrestricted Subsidiary) on the Funding Date that is a member of the Rockwood Group and that is incorporated under the laws of Germany and is a party to the German Guarantee and (b) each Subsidiary of the US Borrower that is incorporated under the laws of Germany and that becomes a party to the German Guarantee after the Funding Date pursuant to Section 9.11.
German Guarantors means, collectively, all present and future (direct or indirect) subsidiaries of the Issuer organized under the laws of Germany, which consists, as of the Closing Date, of Li-Cycle Germany GmbH.

  • For the avoidance of doubt, the Release of German Guarantors does not affect, impair or reduce the obligations of any other party under the Foreign Guarantee Agreement.

More Definitions of German Guarantors

German Guarantors shall have the meaning provided in Section 12.17(a).
German Guarantors means the German GmbH Guarantors and the German GmbH & Co. KG Guarantors.
German Guarantors means each Subsidiary of Holdings organized in Germany party to the Revolving Credit Loan Documents and the Pari Passu Loan Documents as a Guarantor, and each other Subsidiary of Holdings organized in Germany that is required to become a Guarantor pursuant to the terms to the Revolving Credit Loan Documents and the Pari Passu Loan Documents.
German Guarantors means (a) each German Borrower (other than with respect to its own Foreign Obligations), (b) each direct parent company of each German Borrower that is a Foreign Subsidiary of the Parent Borrower.
German Guarantors means the Guarantors designated as such on Schedule I and any party entering into this Agreement as a Guarantor after the date hereof that is incorporated in and existing in Germany.
German Guarantors means any Guarantor which is incorporated in Germany.
German Guarantors means, collectively, the following (together with their respective successors and assigns): (a) Car Communication Holding GmbH, a Gesellschaft mit beschränkter Haftung under the laws of the Federal Republic of Germany and (b) Hirschmann Car Communication GmbH, a Gesellschaft mit beschränkter Haftung under the laws of the Federal Republic of Germany; each sometimes being referred to herein as a “German Guarantor”.
