Free Trading Shares definition

Free Trading Shares means shares of Common Stock that are covered by a Registration Statement with an effective date prior to the date such shares are delivered to Investor's Counsel.
Free Trading Shares means any and all shares which are freely saleable on the public markets, even if subject to the quantity limitations of Rule 144(e) of the Securities Act of 1933.
Free Trading Shares means the 5,000,000 Singapore NewCo Ordinary Shares referred to in Section 9.2(g) of the Share Exchange Agreement, the 1,000,000 Singapore NewCo Ordinary Shares to be issued to a third party adviser or consultant referred to in section 4 of the Third Amendment to the Share Exchange Agreement, the 264,000 Singapore NewCo Ordinary Shares to be issued to 8i Enterprises Pte Ltd upon the consummation of the Business Combination and the Singapore NewCo Ordinary Shares to be issued to 8i Enterprises Pte Ltd by virtue of the various promissory notes issued by the Purchaser.

More Definitions of Free Trading Shares

Free Trading Shares means the 333,333 shares of Common Stock being issued under this Agreement which shall be issued to the Purchaser as free trading stock (no restrictions).
Free Trading Shares is defined in Section 4.9.1.
Free Trading Shares means 15% of the Consideration Shares issued to the Sellers under this Agreement. For avoidance of doubt, all Consideration Shares, including the Free-trading Shares, will be placed with the Broker in accordance with Section 2.4 hereof.

  • Qualifying Shares means shares of Common Stock which either (i) have been owned by the Grantee for more than six (6) months and have been “paid for” within the meaning of Rule 144 promulgated under the Securities Act, or (ii) were obtained by the Grantee in the public market.

  • Qualifying Warrants means net share settled warrants to purchase Common Stock that have an exercise price greater than the current Market Value of the issuer’s Common Stock as of their date of issuance, that do not entitle the issuer to redeem for cash and the holders of such warrants are not entitled to require the issuer to repurchase for cash in any circumstance.

  • PIPE Shares shall have the meaning given in the Recitals hereto.

  • Available Shares means the sum of (i) one hundred fifty thousand (150,000) shares of Common Stock, and (ii) an annual increase on April 1st of each calendar year, beginning in 2022 and ending in 2031 (each a “Date of Determination”), in each case subject to the approval and determination of the Administrator on or prior to the applicable Date of Determination, equal to the lesser of (A) four percent (4%) of the total shares of Common Stock of the Company outstanding on the last day of the immediately preceding fiscal year and (B) such smaller number of shares as determined by the Administrator (the “Share Limit”). Notwithstanding the foregoing, shares added to the Available Shares by the Share Limit are available for issuance as Incentive Stock Options only to the extent that making such shares available for issuance as Incentive Stock Options would not cause any Incentive Stock Option to cease to qualify as such. In the event that the Administrator shall not take action to affirmatively approve an increase in the Share Limit on or prior to the applicable Date of Determination, the Share Limit and Available Shares, shall remain at such level as they were prior to such applicable Date of Determination. For clarity, the Available Shares is a limitation on the number of shares of Common Stock that may be issued pursuant to the Plan.

  • Series C Preferred Shares means the Company’s series C preferred shares, par value US$0.00001 per share.

  • Initial Shares means all of the outstanding shares of Common Stock issued prior to the consummation of the Company’s initial public offering.

  • Preferred Shares means shares of Series A Junior Participating Preferred Stock, par value $.01 per share, of the Company having the rights and preferences set forth in the Form of Certificate of Designations attached to this Agreement as Exhibit A.

  • Fully Adjusted Regular Purchase Share Limit means, with respect to any reorganization, recapitalization, non-cash dividend, stock split or other similar transaction from and after the date of this Agreement, the Regular Purchase Share Limit (as defined in Section 2(a) hereof) in effect on the applicable date of determination, after giving effect to the full proportionate adjustment thereto made pursuant to Section 2(a) hereof for or in respect of such reorganization, recapitalization, non-cash dividend, stock split or other similar transaction.

  • Management Shares means a management share in the capital of the ICAV which shall have the right to receive an amount not to exceed the consideration period for such Management Share.

  • Covered Shares means, with respect to the Shareholder, (i) the Existing Shares, together with (ii) any shares of Common Stock or other voting capital stock of the Company and any securities convertible into or exercisable or exchangeable for shares of Common Stock or other voting capital stock of the Company, in each case under this clause (ii) that such Shareholder acquires Beneficial Ownership of on or after the date hereof.
