Expense Reimbursement Amount definition

Expense Reimbursement Amount has the meaning set forth in Section 1.7(e)(i).

Expense Reimbursement Amount means an amount, not to exceed $125,000, equal to Purchaser’s reasonable and documented out-of-pocket costs and expenses (including fees and expenses of counsel) incurred by Purchaser in connection with this Agreement and the Transactions.

Expense Reimbursement Amount means the lesser of (i) [**] and (ii) [**]% of the Buyer Transaction Expenses.

Examples of Expense Reimbursement Amount in a sentence

• The Expense Reimbursement Amount shall reimburse the Purchaser for the Purchaser's Securities and Exchange Commission registration statement fees and the Purchaser's registration statement administration fees allocable to the Trust.

• If the Purchaser shall determine that the Expense Reimbursement Amount is not sufficient to reimburse the Purchaser for all expenses incurred by it that are subject to reimbursement by the Seller hereunder as described above, the Seller shall promptly reimburse the Purchaser for such additional amounts upon written notice by the Purchaser to the Seller.

• Sellers will pay all of their fees and expenses in connection with entering into and consummating the transactions contemplated by this Agreement as well as the Expense Reimbursement Amount.

More Definitions of Expense Reimbursement Amount

Expense Reimbursement Amount means all documented out-of-pocket expenses reasonably incurred by Parent in connection with this Agreement and the transactions contemplated hereby, including fees and expenses of accountants, attorneys, investment bankers and financial advisors (but excluding corporate overhead or salaries payable to employees of Parent or any of its Subsidiaries); provided, however, that in no event shall the Expense Reimbursement Amount exceed $6,000,000.
