Essential Item definition

Essential Item means Items that, at any time, Tesla is not able to replace with a reasonably practicable commercial alternative within six (6) months or less of Tesla desiring to do so. Upon Tesla’s request, Tesla and Supplier will agree upon a mechanism to maintain Tesla’s continuity of supply with respect to an Essential Item, such as agreeing upon the terms of a “lifetime buy” or executing a mutually agreeable escrow or license agreement.

  • Substantial Involvement means involvement on the part of the Government.
