If Purchaser notifies Parent or Elron in writing within such period that it disagrees with such balance sheet and income statement and specifies (i) the items as to which it so disagrees and the reasons therefor and (ii) the amount of the adjustment it proposes with respect to each item, then Purchaser and Parent or Elron will attempt to resolve their differences with respect thereto.
