D&O Insurance Tail Policy definition

D&O Insurance Tail Policy means a policy for directors’ and officers’ liability insurance on terms comparable to those applicable to the current directors and officers of the Company and its Subsidiaries by means of purchasing a “tail” policy under the Company’s existing directors’ and officers’ insurance policy which has an effective term of six (6) years from the Effective Date and covers those persons who are currently covered by the Company’s directors’ and officers’ insurance policy in effect as of the date of this Agreement.
