Disputed Reserve definition

Disputed Reserve means the reserve to be created by Tronox to hold a contribution of Cashand/or New Common Stock, which reserve shall be held for the benefit of Holders of subsequently Allowed Claims or, to the extent applicable, to Holders of Equity Interests, for Distribution according to the procedures set forth in Articles VI and VII.

Disputed Reserve means the reserve fund created pursuant to Article V.B.1 of the Plan.

Disputed Reserve means a reserve of Cash, New Common Stock and/or New Warrants for the relevant Class, established herein for, among other things, the payment or other satisfaction of Disputed Claims or Disputed Equity Interests that become Allowed Claims or Allowed Equity Interests after the Effective Date, which reserve shall be held in trust for the benefit of the holders of Claims and Equity Interests and, except as provided in Section 9.6 of the Plan upon closure of a Disputed Reserve, will not constitute property of the Estates or of Reorganized Safety Components.

Examples of Disputed Reserve in a sentence

• On the Initial Distribution Date, and after making all Distributions required to be made on such date under the Plan, the Reorganized Debtor shall establish a separate Disputed Reserve for Disputed Claims, which Disputed Reserve shall be administered by the Reorganized Debtor.

• To the extent that the property placed in a Disputed Reserve consists of Cash, that Cash shall be deposited in an interest-bearing account.

• Except with respect to property not Distributed because it is being held in a Disputed Reserve, Distributions that are not claimed by the expiration of three months from the Initial Distribution Date or any Subsequent Distribution Date, as applicable, shall be deemed to be unclaimed property under section 347(b) of the Bankruptcy Code and shall revest in the Reorganized Debtor, and the Claims with respect to which those Distributions are made shall be automatically deemed waived.

More Definitions of Disputed Reserve

Disputed Reserve means the aggregate amount of Cash that would have been distributed on the Distribution Date, or in subsequent Distributions, to the Holders of Disputed Claims if such Disputed Claims had in fact been Allowed on such date: (a) for liquidated Claims, in the amount asserted in a filed Proof of Claim or Administrative Claim; and (b) for unliquidated Claims, the amount estimated by the Liquidation Trustee as the maximum reasonable amount that could ultimately be allowed by the Court.
