DIP Equity Distribution definition

DIP Equity Distribution means 20% of the Authorized Plan Distribution Shares, which shallconstitute 100% of the shares of New Common Stock issued by the Reorganized Debtors on the Effective Date.
DIP Equity Distribution means the New Common Stock to be issued on the Effective Date and to be distributed to the DIP Lenders commencing on the Effective Date, in an amount which shall be calculated by converting all DIP Borrowing Obligations owed under the DIP Facility to New Common Stock at a 20% discount to the value of the New Common Stock as of the Effective Date, with such value of the New Common Stock based on the enterprise value of the Debtors as set forth in the Disclosure Statement.

  • Except to the extent that a holder of an Allowed DIP Term Facility Claim agrees to a less favorable treatment, in full and final satisfaction, settlement, release, and discharge of, and in exchange for, each Allowed DIP Term Facility Claim, each holder of an Allowed DIP Term Facility Claim shall receive its Pro Rata share of (1) all or a portion of the New Second Lien Credit Facility, as set forth on Annex A to the Plan, and (2) the DIP Equity Distribution.
