DIP ABL Claims definition

DIP ABL Claims means all Claims, rights and interests of the DIP Lenders arising out of or related to the DIP Revolving Credit Agreement including, without limitation, all fees and expenses payable thereunder and any and all “Obligations” as defined therein.
DIP ABL Claims means any and all Claims derived from or based upon the DIP ABL Credit Facility, including all Claims for any fees and expenses of the DIP ABL Agent.
DIP ABL Claims means all Claims or obligations held by the DIP Agent and/or the DIP Lenders arising under or pursuant to the DIP ABL Credit Agreement, including, without limitation, Claims for all principal amounts outstanding, interest, fees, reasonable and documented expenses, costs and other charges of the DIP Agent and the DIP Lenders.

Examples of DIP ABL Claims in a sentence

  • Upon payment or satisfaction in full of the DIP New Money Claims and DIP ABL Claims (except the Excluded DIP Obligations) in accordance with the terms of this Plan, on the Effective Date all liens and security interests granted to secure such obligations shall be terminated and of no further force or effect.

  • The DIP ABL Claims shall be deemed to be Allowed Claims under the Plan.

  • All cash distributions to be made hereunder to the DIP ABL Agent on account of the DIP ABL Claims shall be made by wire transfer.

  • The DIP ABL Claims shall be satisfied in full by either: (a) the conversion on the Effective Date of the DIP ABL Facility into the New ABL Facility in accordance with the terms and conditions of the DIP ABL Credit Agreement; or (b) the termination of all commitments, payment in full in Cash of all outstanding obligations and cash collateralization, return or backstopping of all letters of credit issued thereunder in a manner satisfactory to the DIP Agent.

  • The DIP ABL Agent shall hold or direct distributions for the benefit of the Holders of DIP ABL Claims.

DIP ABL Claims means all Claims of the DIP ABL Agent and the DIP ABL Lenders arising under, derived from, secured by, or based on the DIP ABL Credit Agreement or otherwise secured pursuant to the DIP ABL Credit Agreement Documents (including, without limitation, all Claims arising under, derived from, or based on the Debtorsjoint and several guarantee of the Canadian Obligations (as defined in the ABL Credit Agreement)).
DIP ABL Claims means those Obligations pursuant to the DIP ABL Facility.
DIP ABL Claims means all Claims or obligations held by the DIP Agent and/or the DIP ABL Lenders arising under or pursuant to the DIP ABL Credit Agreement and/or any order (whether preliminary, interim, final or otherwise and including, without limitation, the Final DIP Order), approving the DIP ABL Credit Agreement and/or the transactions contemplated therein, including, without limitation, Claims for all principal amounts outstanding, reimbursement for draws under any letter of credit issued under the DIP ABL Credit Agreement, all amounts outstanding with respect to bank credit products provided by any of the DIP ABL Lenders or any affiliate of any of the DIP ABL Lenders, interest, fees, reasonable and documented expenses, costs and other charges of the DIP ABL Agent and the DIP ABL Lenders.
DIP ABL Claims means all Claims of the DIP ABL Agent and the DIP ABL Lenders arising under, derived from, or based on the DIP ABL Credit Agreement or otherwise secured pursuant to the DIP ABL Credit Agreement Documents.
DIP ABL Claims means, collectively, the DIP ABL Revolving Loan Claims and DIP ABL Term Loan Claims.
DIP ABL Claims means any and all Claims arising under, derived from, or based upon the DIP ABL Credit Agreement, including Claims for principal amounts outstanding, interest, fees, expenses, costs, and other charges based upon the DIP ABL Credit Agreement. For the avoidance of doubt, the “DIP ABL Claims” shall include all ABL DIP Obligations (as defined in the DIP Orders).
DIP ABL Claims means any Claim arising under or related to the DIP ABL Documents, which Claims shall be deemed Allowed Claims.
