AND OTHER CHARGES. 3.1 Computation of Rates; Lawful Limits All rates hereunder shall be computed on the basis of a year of 360 days and for the actual number of days elapsed in each calculation period, as applicable. In no contingency or event whatsoever, whether by reason of acceleration or otherwise, shall the interest and other charges paid or agreed to be paid to Agent, for the benefit of itself and the other Lenders, for the use, forbearance or detention of money hereunder exceed the Maximum Rate which a court of competent jurisdiction shall, in a final determination, deem applicable hereto. If, due to any circumstance whatsoever, fulfillment of any provision hereof, at the time performance of such provision shall be due, shall exceed any such limit, then the obligation to be so fulfilled shall be reduced to such lawful limit, and, if Agent or Lenders shall have received interest or any other charges of any kind which might be deemed to be interest in excess of the Maximum Rate, then such excess shall be applied first to any unpaid fees and charges hereunder, then to unpaid principal balance owed by Borrower hereunder, and if the then remaining excess interest is greater than the previously unpaid principal balance, Agent and Lenders shall promptly refund such excess amount to Borrower and the provisions hereof shall be deemed amended to provide for such permissible rate. The terms and provisions of this Section 3.1 shall control to the extent any other provision of any Loan Document is inconsistent herewith.

AND OTHER CHARGES. 4.1 All payments required under this Agreement or in respect of the Note, whether in respect of principal, interest (including interest at the Default Rate) or any other obligation, shall be made in full, in Dollars without any deduction or withholding on account of taxes, set-off, counter-claim, duties or other charges of any nature or kind whatsoever, unless the Borrower is prohibited by applicable Law from doing so in which event the Borrower shall pay an additional amount such that the net amount received by the Lender shall be the amount which would have been received by the Lender if no such deduction or withholding had been made.
