The vesting of the property right described in this section shall become permanent once eighty (80) percent of the buildings in the Project, based on square footage of space, have been competed, unless the Tourism Development District is sooner terminated as provided in the Tourism Development District Act or this Agreement.

On November 28, 2005, the Circuit Court of St. Louis County, Missouri, 2151 Judicial District (the "Court"), entered a Declaratory Judgment, Decree and Order Organizing a Transportation Development District and Approving a Funding Method (the "Order"), which established the TDD as a political subdivision pursuant to and in accordance with the Missouri Transportation Development District Act, Sections 238.200 to 238.275 of the Revised Statutes of Missouri, as amended (the "TDD Act").
The Applicant acknowledges that the City is not obligated by the execution of this Agreement to establish a Transportation Development District or to approve any transportation- related project and the approval of a Transportation Development District is subject to the sole discretion of the Governing Body of the City and the requirements of the Transportation Development District Act.
The Applicant shall furnish the WVDO such further information or assurances, execute and deliver such additional documentation, agreements, or instruments, and take such other actions and do such other things, as may be reasonably necessary in the opinion of counsel to the WVDO, to satisfy the provisions of the Tourism Development Act, Tourism Development District Act, and this Agreement.
Upon the approval of the Application establishing the Tourism Development District, the Applicant, and any successor to the Applicant, shall have a vested property right to undertake and complete the approved elements of the Project, subject to the provisions of the Tourism Development District Act.
In addition, the Parties will work cooperatively to form a Transportation Development District (TDD) coterminous with the boundaries of the CID described above (the “TDD”), and to impose an accompanying one percent 1.0% TDD sales and use tax on all taxable sales occurring on or within, or otherwise sourced to, the TDD (the “TDD Sales Tax”), all in accordance with the Missouri Transportation Development District Act, Section 238.200 to 238.275 of the Revised Statutes of Missouri, as amended (the “TDD Act”).
