Prior to Closing, Sellers shall cause DETI to assign all of its rights and obligations under that certain Construction, Operation and Maintenance Agreement dated as of September 2, 2014 by and between DETI (formerly known as Dominion Transmission, Inc.) and ACP (the “COMA”) to a DEI Affiliate that is not a Sale Entity.

These modifications were made, with the consent of the Department of Enterprise, Trade and Investment (DETI), pursuant to its powers under Article 3 of the Electricity (Single Wholesale Market) (Northern Ireland) Order 2007 and Regulation 60 of the Electricity Regulations (Northern Ireland) 2007.
