Demand Registrable Securities definition

Demand Registrable Securities shall have the meaning set out in Section 2.2(a).
Demand Registrable Securities has the meaning set forth in Section 4.2(a).
Demand Registrable Securities means any Registrable Securities requested to be included in a Demand Registration by a Holder pursuant to Section 3.

  • The sale of Demand Registrable Securities pursuant to the Demand Registration Statement shall be made solely by means of a single firm-commitment underwritten public offering.

  • Notwithstanding anything to the contrary in this Agreement, the Issuer shall not have any obligation to register the Demand Registrable Securities pursuant to this Section 4.2 if Adelphia fails to satisfy the Financial Information Requirement.

  • The request for a Demand Registration shall specify the number of Demand Registrable Securities requested to be registered and the anticipated per share price range for such offering.

More Definitions of Demand Registrable Securities

Demand Registrable Securities has the meaning set forth in Section 2(a)(i)(1) of this Agreement.

Demand Registrable Securities means (i) the shares of Common Stock of the Company issuable or issued upon conversion of the Preferred Stock of the Company, and (ii) any other shares of the Company's Common Stock issued as (or issuable upon conversion or exercise of any warrant, right or other security which is issued as) a dividend or other distribution with respect to or exchange for or replacement of the Preferred Stock.
Demand Registrable Securities means (i) shares of the Company's Common Stock (the "Common Stock") issued or issuable upon the conversion of the Series A Preferred, the Series B Preferred, the Series C Preferred, or the Series D Preferred; (ii) the shares of Common Stock held by CKS at any time, (iii) the shares of Common Stock held by Gett that were purchased from CKS, (iv) any Common Stock of the Company or other securities issued or issuable in respect of shares of the Series A Preferred, the Series B Preferred, the Series C Preferred, the Series D Preferred or the shares held by CKS or the shares held by Gett that were purchased from CKS; and (v) shares of the Company's Common Stock or other securities issued or issuable upon any conversion of the Shares upon any stock split, stock dividend, recapitalization, combination or similar event; PROVIDED, HOWEVER, that any shares described in clauses (i)-(iv) above which have been resold to the public shall cease to be Registrable Securities upon such resale and any shares as to which registration rights have terminated pursuant to Section 11 below shall cease to be Registrable Securities upon such termination.
