Debt Financing Proposals definition

Debt Financing Proposals means, collectively, the executed senior debt financing proposals and mezzanine debt financing proposals, copies of which are attached as Annex A and Annex B, respectively.

  • The lenders to the Debt Financing Proposals have expressed their intent, subject to the terms and conditions therein, to lend to the Buyer the amount set forth in the Debt Financing Proposals for the purpose of partially financing the Transactions.

  • There are no side letters or other agreements to which the Buyer or any Affiliate is a party related to the Debt Financing that could adversely affect the availability of the Debt Financing other than as expressly set forth in the Debt Financing Proposals.

  • Accurate and complete copies of the Debt Financing Proposals are attached as Annex A and Annex B.

  • If any portion of the Financing becomes unavailable on the terms and conditions contemplated in the Debt Financing Proposals, Equity Financing or Debt Financing Documents, the Buyer shall use its reasonable best efforts to arrange and obtain alternative debt and equity financing from alternative sources in an amount sufficient to consummate the Transactions as promptly as practicable following the occurrence of such event but no later than the business day immediately prior to the Closing Date.

  • The Buyer shall use reasonable best efforts to satisfy on a timely basis all conditions and covenants applicable to the Buyer in the Debt Financing Proposals and the Debt Financing Documents.

  • Debt Financing has the meaning set forth in Section 5.7.

  • Debt Financing Sources means the Persons that have committed to provide, or otherwise entered into agreements in connection with, the Debt Financing (including the parties to any joinder agreements, credit agreements or other definitive agreements relating thereto) and their respective Affiliates and such Person’s (and their respective Affiliates’), officers, directors, employees, attorneys, advisors, agents and representatives involved in the Debt Financing and their successors and permitted assigns.

  • Superior Acquisition Proposal means any Acquisition Proposal containing terms which the Company Board determines in its good faith judgment (based on the advice of an independent financial advisor) to be more favorable to the Company’s stockholders than the Merger and for which financing, to the extent required, is then committed or which, in the good faith judgment of the Company Board, is reasonably capable of being obtained by such third party.

  • Transaction Proposals has the meaning specified in Section 8.2(b).

  • Alternative Financing has the meaning set forth in Section 5.14(b).

  • Financing Commitments has the meaning set forth in Section 5.7.

  • Parent Acquisition Proposal means any offer or proposal for a merger, reorganization, recapitalization, consolidation, share exchange, business combination or other similar transaction involving Parent or any of its Subsidiaries or any proposal or offer to acquire, directly or indirectly, securities representing more than 20% of the voting power of Parent or more than 20% of the assets of Parent and its Subsidiaries taken as a whole, other than the Combination contemplated by this Agreement.

  • Exit Financing means the financing under the Exit Facility.

  • Financing Commitment shall have the meaning set forth in Section 6.4.

  • Refinancing Transactions means the issuance and sale of the Notes pursuant to the Offering Memorandum, the incurrence of indebtedness on or about the Issue Date pursuant to any Credit Agreement and/or the repricing, refinancing, amendment, restatement or supplement, in whole or in part, of any Credit Agreement and the redemption (including any satisfaction and discharge in connection therewith) of all of the Company’s outstanding 7.875% Senior Notes due 2019 and the payment of fees and expenses in connection therewith.

  • Refinancing Commitments shall have the meaning provided in Section 2.14(h).

  • Existing Financing means the financing arrangements that provided for a security interest granted by Company in the Aircraft and that were outstanding on August 3, 2020.

  • Debt Financing Documents means the agreements, documents and certificates contemplated by the Debt Financing.

  • Bridge Financing means interim financing to cover Eligible Project Costs until DWSRF financing for the project is received from the State Water Board.

  • Company Acquisition Proposal means any offer, indication of interest or proposal (other than an offer or proposal made or submitted by or on behalf of Parent or any of its Subsidiaries) contemplating or otherwise relating to any Company Acquisition Transaction.

  • Financing Transactions means (a) the execution, delivery and performance by each Loan Party of the Loan Documents to which it is to be a party, (b) the borrowing of Loans hereunder and the use of the proceeds thereof and (c) the issuance, amendment or extension of Letters of Credit hereunder and the use of proceeds thereof.

  • Acquisition Proposal has the meaning set forth in Section 5.03(a).

  • Alternative Proposal has the meaning set forth in Section 6.2(b).

  • Transaction Proposal has the meaning specified in Section 8.02(c).

  • Co-financing means the financing referred to in Section 7.02 (h) and specified in the Loan Agreement provided or to be provided for the Project by the Co-financier. If the Loan Agreement specifies more than one such financing, “Co-financing” refers separately to each of such financings.

  • Debt Commitment Letters shall have the meaning set forth in Section 5.7(a), as supplemented by Section 6.11, as applicable.

  • Commitment Letters has the meaning set forth in Section 4.5(b).

  • Financing Transaction means a transaction in which a licensed provider obtains financing from a financing entity including any secured or unsecured financing, any securitization transaction, or any securities offering which is either registered or exempt from registration under federal and state securities law.

  • Alternative Restructuring Proposal means any inquiry, proposal, offer, bid, term sheet, discussion, or agreement with respect to a sale, disposition, new-money investment, restructuring, reorganization, merger, amalgamation, acquisition, consolidation, dissolution, debt investment, equity investment, liquidation, tender offer, recapitalization, plan of reorganization, share exchange, business combination, or similar transaction involving any one or more Company Parties or the debt, equity, or other interests in any one or more Company Parties that is an alternative to one or more of the Restructuring Transactions.

  • Alternative Transaction Proposal means any offer, inquiry, proposal or indication of interest, written or oral (whether binding or non-binding and other than an offer, inquiry, proposal or indication of interest by Parent or an Affiliate of Parent), relating to an Alternative Transaction.

  • Takeover Proposal means any offer or proposal for, or any indication of interest in, a merger or other business combination involving Target or the acquisition of any significant equity interest in, or a significant portion of the assets of, Target, other than the transactions contemplated by this Agreement.
