The Purchaser Parties have fully paid (or caused to be paid) any and all commitment fees or other fees or amounts payable in connection with the Debt Financing Commitments that are payable on or prior to the date hereof.
None of the Debt Financing Commitments has been since the Lookback Date or will be amended or modified, except as consistent with Section 5.17, and the respective commitments contained in the Debt Financing Commitments have not been withdrawn or rescinded in any respect as of the date hereof.
Notwithstanding anything contained herein to the contrary, nothing in this Section 9.17 shall in any way affect any party hereto’s or any of their respective Affiliates’ rights and remedies under any binding agreement to which a Financing Source is a party, including the Debt Financing Commitments.
The Debt Financing Commitments are in full force and effect as of the date of this Agreement and, to the Purchaser Parties’ knowledge, are legal, valid and binding obligations of the lender parties thereto, enforceable against them in accordance with their terms, subject to applicable bankruptcy, insolvency, reorganization, moratorium, receivership and similar Laws affecting the enforcement of creditors’ rights generally, and general equitable principles.
There are no side letters or other agreements, contracts, or arrangements (except for customary fee letters and engagement letters with lenders, true and complete copies of which have been provided to Seller, except for redactions permitted above) related to the funding or investing, as applicable, of the full amount of the Financing other than as expressly set forth in the Debt Financing Commitments.
