Damages definition
Damages means any loss, claim, damage, liability, cost and expense (including, without limitation, reasonable attorneys’ fees and disbursements and costs and expenses of expert witnesses and investigation).

Examples of Damages in a sentence
If there is more than one Indemnifying Investor, the obligations of the Indemnifying Investors shall be several and not joint, with each such Indemnifying Investor responsible for its pro rata share of the Damages (unless such Indemnifying Investor’s participation rights had previously been assigned in accordance with this Agreement) based on the respective Commitment Percentage of each Indemnifying Investor as compared to the Commitment Percentage of all Indemnifying Investors.

Damages means all elements of relief or recovery of whatever nature, whether known or unknown, which are recognized by the law or equity of any jurisdiction. This term includes, without limitation, actual, incidental, indirect, consequential, compensatory, liquidated, exemplary, and punitive damages; rescission, attorneys' fees; interest; costs; equitable relief; and expenses.
