In the event that the Buyer fails to make any payments under the Buyer Notes on or before the date on which such payments are due, the Seller shall have the right to offset an amount equal to the amount of such overdue payments against amounts due from the Buyer to the Seller or its Affiliates under the Alcoa CPC Agreements and the Lake Charles Agreement.
The CPC Agreements supersede all other agreements, oral and written, with respect to its subject matter and may be modified only by a written agreement between the parties.
