Countersignature Agent definition

Countersignature Agent refers to a Person engaged to countersign the Warrants in the stead of the Warrant Agent.

  • The Company may appoint one or more Registrars, and the Warrant Agent may appoint a Countersignature Agent, in which case each reference in this Agreement to the Warrant Agent in respect of the obligations of the Warrant Agent to be performed by that Countersignature Agent will be deemed to be references to the Countersignature Agent.

Related to Countersignature Agent

  • Countersignature Date means the date shown as the date countersigned on the signature page of this Agreement.

  • Authentication Agent means a Person designated by the Trustee to authenticate Notes on behalf of the Trustee.

  • Transfer Agent and Registrar shall have the meaning set forth in Section 2.5(e) hereof.
