Commercial Purposes definition

Commercial Purposes means any commercial or profit generating purpose including the sale, lease of other transfer of the Material and includes uses of the Material by any organisation, including Recipient, to perform contract research, to produce or manufacture products for general sale, or to conduct research activities that result in any sale, lease, license, or transfer of the Material.
Commercial Purposes means to advance a person’s commercial or economic interests, such as by inducing another person to buy, rent, lease, join, subscribe to, provide, or exchange products, goods, property, information, or services, or enabling or effecting, directly or indirectly, a commercial transaction. “Commercial purposes” do not include for the purpose of engaging in speech that state or federal courts have recognized as noncommercial speech, including political speech and journalism.

More Definitions of Commercial Purposes

Commercial Purposes means the ordinary purposes of trade, agriculture, industry, and commerce, exclusive of the practices of medicine and pharmacy.

However, industrially sponsored academic research shall not be considered a use of the MATERIAL or MODIFICATIONS for COMMERCIAL PURPOSES per se, unless any of the above conditions of this definition are met.

However, industrially sponsored aca- demic research shall not be considered a use of the Material or Modifications for Commercial Purposes per se, unless any of the above conditions of this definition are met. For the avoidance of doubt, the Parties acknowledge and agree that the following shall not be a Commercial Purpose as defined herein: (i) sending the Materials to a third party where that third party is required for the rederivation and/or breeding of live mice from the Materials on the Recipient’s behalf; and/or (ii) use a third party to import the Materials into the Recipient’s country on the Recipient’s behalf, both (i) and (ii) as specified in Annex 1. The third parties mentioned in the preceding sentence shall be referred to as “Third Party Agents”.
