Economic Interests definition

Economic Interests mean (a) for the IVP Equityholders, (i) Common Units, plus any Common Units issued upon the conversion of Restricted Common Units pursuant to clause (y) below and (ii) shares of Class A Common Stock, plus any shares of Class A Common Stock issued upon the conversion of shares of Class B Common Stock pursuant to clause (y) below, in each case owned by the IVP Equityholders or their Permitted Transferees, (b) for the Xxxxxxx Equityholders, shares of Class A Common Stock, plus any shares of Class A Common Stock issued upon the conversion of shares of Class B Common Stock pursuant to clause (y) below, in each case owned by the Xxxxxxx Equityholders or their Permitted Transferees, (c) for the Sponsor, 12,766,286 shares of Class A Common Stock, plus any shares of Class A Common Stock issued upon the conversion of shares of Class B Common Stock pursuant to clause (y) below owned by the Sponsor or its Permitted Transferees, (d) for CC Capital, 6,383,143 shares of Class A Common Stock, plus any shares of Class A Common Stock issued upon the conversion of shares of Class B Common Stock pursuant to clause (y) below owned by CC Capital or its Permitted Transferees, (e) for the Francisco Partners Equityholders, shares of Class A Common Stock owned by the Francisco Partners Equityholders or their Permitted Transferees, and (f) for the Temasek Equityholder, shares of Class A Common Stock owned by the Temasek Equityholder or its Permitted Transferees, in the case of clauses (a), (b), (c), (d) (e) and (f), as equitably adjusted for stock splits, stock dividends, combinations, recapitalizations and the like. For purposes of computing the percentage of Economic Interests held by the IVP Equityholders in clause (a), the Xxxxxxx Equityholders in clause (b), the Sponsor in clause (c) and CC Capital in clause (d) in Section 3.1 and Section 6.4(b), in each case, Restricted Common Units and Class B Common Stock shall (x) not be included as held as of the Closing Date or at the applicable time while unvested and remaining Restricted Common Units or shares of Class B Common Stock and (y) be included as being held as of the Closing Date and at the applicable time beginning only if and when they vest and convert into Common Units or shares of Class A Common Stock.
Economic Interests in a Loan means any or all of the following:
Economic Interests shall consist of a Partner's rights to distributions, allocations of profits and losses, and capital accounts, and all other rights pertaining to Partnership Interests, other than those which constitute Voting Interests, and (c) the "Residual Interest" shall consist of a 1% Voting Interest in the Partnership;

More Definitions of Economic Interests

Economic Interests means a Member’s right and obligation to share in the income, gains, losses, deductions, credits, or similar items of the Company, and to receive distributions from the Company, as based on such Member’s Percentage Interest, but does not include any other rights of a Member including, without limitation, the right to vote, or any right to information concerning the business and affairs of the Company.
Economic Interests in AT&T Wireless or the Wireless Group shall mean (a) at any time prior to consummation of the Spin-off, (i) AT&T's Retained Wireless Interest and (ii) shares of Current Wireless Tracking Stock, including securities of AT&T (including New Tracking Stock) that by their terms are convertible into or exercisable or exchangeable for shares of Current Wireless Tracking Stock, and (b) at any time following consummation of the Spin-off, (i) shares of AT&T Wireless Common Stock, including securities of AT&T Wireless that by their terms are convertible into or exercisable or exchangeable for shares of AT&T Wireless Common Stock and (ii) shares of any class of preferred stock of AT&T Wireless that by their terms are entitled to receive dividends or participate in dividends together with the AT&T Wireless Common Stock.
Economic Interests means (a) the issued and outstanding shares of Class A Common Stock, (b) the issued and outstanding Class A Common Units and (c) any other equity security of (i) the Company issued or issuable with respect to the shares of Class A Common Stock referenced in clauses (a) or (ii) OpCo issued or issuable with respect to Class A Common Units referenced in clauses (b), in each case by way of stock dividend or stock split or in connection with a combination of shares, recapitalization, merger, consolidation or reorganization or similar transaction.
Economic Interests means the Economic Interests (as defined in the Company’s LLCA) issued and outstanding immediately prior to the consummation of the Recapitalization.
Economic Interests of a Member means such Member’s rights to Distributions, rights to require the purchase or sale of Units by the Company or other Persons, and rights to allocations of income, gain, loss, deduction, credit and similar items from the Company, in each case pursuant to this Agreement or the Delaware Act, but shall not include any other rights of such Member, including, without limitation, the right to vote or participate in the management of the Company, or rights to receive information from the Company, in each case except as may be expressly provided by the Delaware Act.
Economic Interests mean (a) for the Sellers, (i) Utz Units and (ii) shares of Class A Common Stock, in each case owned by the Sellers and (b) for the Sponsor, 9,555,671.61 shares of Class A Common Stock plus any shares of Class A Common Stock issued upon the conversion of shares of Class B Common Stock pursuant to clause (B) below upon such conversion, in the case of clause (a) and (b), as equitably adjusted for stock splits, stock dividends, combinations, recapitalizations and the like. For purposes of computing the percentage of Economic Interests held by the Sponsor or the Sellers in Section 2.1, Section 2.2 or Section 5.4(b), in each case, Retained Restricted Company Units and Restricted Sponsor Shares shall (A) not be included as held as of the Closing Date or at the applicable time while unvested or while Class B Common Stock and (B) be included as being held as of the Closing Date and at the applicable time beginning only if and when they vest or convert into Class A Common Stock.
Economic Interests all of Pledgor’s distributions, profits or economic interests from a Limited Liability Company, and the right, title and interest of Pledgor to receive any such distributions, profits or economic interests, including for any limited liability company organized under Delaware law, any “limited liability company interest” (as such term is defined in Section 18-101(8) of the Delaware LLC Act).
