The Sponsor has the right to subcontract to a third-party CRO or Academic Research Organization (ARO) and assign Study- related duties and rights to any Sponsor affiliate.
Collaborative research projects include, but are not limited to Industry Sponsored Academic Research but permitted use hereunder extends only to basic and discovery research related to, directly under, or in direct collaboration with Purchaser’s Investigator’s research project.
The non-profit organization using the EVERCYTE Material in connection with Industry Sponsored Academic Research agrees to notify the industrial sponsor that any use of the EVERCYTE Material by the industry sponsor will require a separate license from EVERCYTE and that EVERCYTE is under no obligation hereunder to license any EVERCYTE Material to any such industry sponsor.

However, if that Academic Research Institution incorporates into its research results or publications artifacts produced by and provided to these institutions on behalf of other (non-educational institution) MCDC PAHs (or has authors listed on the paper who are not employees or students of the Academic Research Institution) then the procedures in Section 9.02(a) ABOVE must be followed.
