Class A Lender Group definition

Class A Lender Group means with respect to any Class A Advances, any group consisting of related Conduit Lenders, Non-Conduit Lenders and Funding Agents.
Class A Lender Group means any Class A Managing Agent and its related Class A Revolving Conduit Lenders, if any, and Class A Revolving Committed Lenders.
Class A Lender Group means a “Lender Group” under (and as defined in) the Class A Loan Agreement.

Examples of Class A Lender Group in a sentence

  • Paying Agent shall maintain at its Principal Office a register for the recordation of the names and addresses of the Class A Lender Groups and the Class B Revolving Lenders and the Revolving Commitments and Loans of each Class A Lender Group and Class B Revolving Lender from time to time (the “Register”).

  • If a Class A Revolving Conduit Lender declines to fund any portion of the Class A Revolving Loans requested of the Class A Lender Group of which it is a member in a Funding Notice, the Borrower may cancel and rescind such Funding Notice in its entirety upon notice thereof received by the Administrative Agent and each Class A Managing Agent prior to the close of business on the Business Day immediately prior to the proposed Credit Date.

  • The Class A Managing Agent for the Deutsche Bank Class A Lender Group shall have received an e-mail notification from DBRS, Inc.

  • The Borrower also agrees to pay interest in like money to the Class A Loan Note Holder, for the benefit of the Class A Lenders in its Class A Lender Group, on the unpaid principal amount of each such Class A Advance from time to time from the date hereof until payment in full thereof at the rate or rates and on the dates set forth in the Credit Agreement.


More Definitions of Class A Lender Group

Class A Lender Group means a group consisting of the Conduit Lenders and Committed Lenders listed together as party of a “Related Group” on Schedule I hereto or any Assignment and Assumption Agreement.
Class A Lender Group means a group consisting of the Conduit Lenders and Committed Lenders listed together as party of a “Related Group” on Schedule I hereto or any Assignment and Assumption Agreement. “Class A Loan” means an Advance funded by a Class A Lender hereunder. “Class A Maximum Financing Amount” means the aggregate amount of Class A Commitments. “Class A Monthly Interest Amount” means, with respect to each Interest Period, an amount equal to the product of (i) the Class A Interest Rate, (ii) the daily average Class A Aggregate Loan Principal Balance during the related Interest Period, and (iii) a fraction, the
Class A Lender Group. A group consisting of a Class A Managing Agent and its related Class A Lenders specified on Schedule VI hereto.

Related to Class A Lender Group

  • Lender Group means, individually and collectively, each of the Lenders (including the Issuing Lender) and Agent.

  • Tranche A Lenders means First Union National Bank and shall include the several banks and other financial institutions from time to time party to the Credit Agreement that commit to make the Tranche A Loans.

  • Tranche A Lender means a Lender with a Tranche A Commitment or an outstanding Tranche A Term Loan.

  • Class A Liquidity Provider has the meaning set forth in the Intercreditor Agreement.

  • Class B Liquidity Provider has the meaning set forth in the Intercreditor Agreement.

  • First Lien Lenders means the “Lenders” under and as defined in the First Lien Credit Agreement.

  • Subordinated Lenders means each and every Person to whom any of the Subordinated Indebtedness are owed.

  • Prepetition Lenders means the lenders party to the Prepetition Credit Agreement.

  • Class A Cash Collateral Account means, in respect of the Class A Liquidity Facility, an Eligible Deposit Account in the name of the Subordination Agent maintained at an Eligible Institution, which shall be the Subordination Agent if it so qualifies, into which amounts shall be deposited as referred to in Section 3.05(f).

  • DIP Lenders has the meaning assigned to such term in Section 2.05(b).

  • DIP Lender means a lender under the DIP Facility.

  • Affiliated Lender Cap has the meaning assigned to such term in Section 9.05(g)(iv).

  • Class C Reserve Account Percentage means, (i) zero, if the Quarterly Excess Available Funds Percentage on such Transfer Date is greater than or equal to 4.50%, (ii) 1.25%, if the Quarterly Excess Available Funds Percentage on such Transfer Date is less than 4.50% and greater than or equal to 4.00%, (iii) 2.00%, if the Quarterly Excess Available Funds Percentage on such Transfer Date is less than 4.00% and greater than or equal to 3.50%, (iv) 2.75%, if the Quarterly Excess Available Funds Percentage is less than 3.50% and greater than or equal to 3.00%, (v) 3.50%, if the Quarterly Excess Available Funds Percentage on such Transfer Date is less than 3.00% and greater than or equal to 2.50%, (vi) 4.50%, if the Quarterly Excess Available Funds Percentage is less than 2.50% and greater than or equal to 2.00%, and (vii) 6.00%, if the Quarterly Excess Available Funds Percentage on such Transfer Date is less than 2.00%.

  • Subordinated Lender means each Seller, in its capacity as subordinated lender pursuant to the relevant Subordinated Loan Agreement.

  • Second Lien Lenders means the “Lenders” under and as defined in the Second Lien Credit Agreement.

  • Revolving Facility Lender means a Lender (including an Incremental Revolving Facility Lender) with a Revolving Facility Commitment or with outstanding Revolving Facility Loans.

  • Term A Lender means, at any time, any Lender that has a Term A Commitment or a Term A Loan at such time.

  • Bank Lenders means the banks and financial institutions party to the Bank Credit Agreement.

  • Aggregate Class A Interest Distributable Amount With respect to any Distribution Date, the sum of (i) the aggregate of the Note Class Interest Distributable Amount for each class of the Class A Notes as of such Distribution Date and (ii) the Class A Interest Carryover Shortfall as of the close of the preceding Distribution Date.

  • Class B Noteholders’ Interest Distribution Amount means, for any distribution date, the sum of: • the amount of interest accrued at the class B note rate for the related accrual period on the outstanding principal balance of the class B notes on the immediately preceding distribution date, after giving effect to all principal distributions to class B noteholders on that preceding distribution date, and • the Class B Note Interest Shortfall for that distribution date.

  • Class A Noteholders’ Interest Distribution Amount means, for any distribution date, the sum of: • the amount of interest accrued at the class A note interest rates for the related accrual period on the aggregate outstanding principal balances of all classes of class A notes on the immediately preceding distribution date, after giving effect to all principal distributions to class A noteholders on that preceding distribution date; and • the Class A Note Interest Shortfall for that distribution date.

  • Class B Noteholders’ Interest Distributable Amount means, with respect to any Payment Date, the sum of the Class B Noteholders’ Monthly Interest Distributable Amount for such Payment Date and the Class B Noteholders’ Interest Carryover Shortfall for such Payment Date.

  • Requisite Class Lenders means, at any time of determination (i) for the Class of Lenders having Revolving Loan Exposure, Lenders having or holding more than 50% of the aggregate Revolving Loan Exposure of all Lenders, and (ii) for the Class of Lenders having Term Loan Exposure, Lenders having or holding more than 50% of the aggregate Term Loan Exposure of all Lenders.
