Requisite Class Lenders means, at any time of determination (i) for the Class of Lenders having Revolving Loan Exposure, Lenders having or holding more than 50% of the aggregate Revolving Loan Exposure of all Lenders, and (ii) for the Class of Lenders having Term Loan Exposure, Lenders having or holding more than 50% of the aggregate Term Loan Exposure of all Lenders.
Requisite Class Lenders means, with respect to a Class of Lenders as of any date of determination, Lenders of such Class (a) with respect to the Revolving Lenders, having more than 50% of the aggregate amount of the Revolving Commitments of such Class, or (b) if the Revolving Commitments of such Class have been terminated or reduced to zero and with respect to the Term Loans, holding more than 50% of the principal amount of the aggregate outstanding Loans of such Class, and in the case of Revolving Lenders, outstanding Letter of Credit Liabilities and Swingline Loans; provided that (i) in determining such percentage at any given time, all then existing Defaulting Lenders of such Class will be disregarded and excluded, and (ii) at all times when two or more Lenders (excluding Defaulting Lenders) of such Class are party to this Agreement, the term “Requisite Class Lenders” shall in no event mean less than two Lenders of such Class. For purposes of this definition, a Revolving Lender shall be deemed to hold a Swingline Loan or a Letter of Credit Liability to the extent such Lender has acquired a participation therein under the terms of this Agreement and has not failed to perform its obligations in respect of such participation.
Requisite Class Lenders shall in no event mean less than two Lenders of such Class. For purposes of this definition, a Revolving Lender shall be deemed to hold a Swingline Loan or a Letter of Credit Liability to the extent such Lender has acquired a participation therein under the terms of this Agreement and has not failed to perform its obligations in respect of such participation.

For the avoidance of doubt, the waiver of any condition set forth in Section 6.2 shall require the consent of the Requisite Class Lenders holding Revolving Loans.
More Definitions of Requisite Class Lenders
Requisite Class Lenders means, at any time of determination, (i) for the Class of Lenders having Tranche A Term Loan Exposure, Lenders having or holding more than 50% of the aggregate Tranche A Term Loan Exposure of all Lenders; (ii) for the Class of Lenders having Tranche B Term Loan Exposure, Lenders having or holding more than 50% of the aggregate Tranche B Term Loan Exposure of all Lenders; (iii) for the Class of Lenders having Revolving Credit Exposure, Lenders having or holding more than 50% of the aggregate Revolving Credit Exposure of all Lenders; (iv) for the Class of Lenders having New Term Loan Exposure, Lenders having or holding more than 50% of the aggregate New Term Loan Exposure of all Lenders and (iv) for the Class of Lenders having New Revolving Loan Exposure, Lenders having or holding more than 50% of the aggregate New Revolving Loan Exposure of all Lenders.
Requisite Class Lenders means, at any time of determination (i) for the Class of Lenders having Tranche A Term Loan Exposure, Lenders having or holding at least a majority of the sum of the aggregate Tranche A Term Loan Exposure of all Lenders, and (ii) for the Class of Lenders having Tranche B Term Loan Exposure, Lenders having or holding at least a majority of the sum of the aggregate Tranche B Term Loan Exposure of all Lenders.

Requisite Class Lenders means, at any time of determination, (i) for the Class of Lenders having Term Loan Exposure (other than Additional Term Loan Exposure), Lenders holding more than 50% of the aggregate Term Loan Exposure (other than Additional Term Loan Exposure) of all Lenders; (ii) for the Class of Lenders having Revolving Exposure, Lenders holding more than 50% of the aggregate Revolving Exposure of all Lenders; and (iii) for each Class of Lenders having Additional Term Loan Exposure, Lenders holding more than 50% of the aggregate Additional Term Loan Exposure of that Class; provided that such sum shall be determined with respect to any Defaulting Lender by disregarding the Term Loan Exposure, the Revolving Exposure and Additional Term Loan Exposure of such Defaulting Lender; provided, for purposes of this definition the outstanding principal amount of Alternative Currency Loans and the Alternative Currency Letter of Credit Outstandings at any time shall be determined using the Dollar Equivalent thereof at such time.
