Carrier Company definition

Carrier Company means (i) prior to the Spin-off, UTC or any entity controlled by or under common control with UTC within the meaning of Section 414(b) or (c) of the Code and (ii) from and after the Spin-off, the Corporation and any entity controlled by or under common control with the Corporation within the meaning of Section 414(b) or (c) of the Code (but under both (i) and (ii) substituting “at least 20 percent” for “at least 80 percent” as the control threshold used in applying Sections 414(b) and (c)).

  • Notwithstanding the foregoing, the amount payable to a Participant or Beneficiary may be offset by any amount owed to any Carrier Company to the extent permitted by Section 409A.

  • For any proposed assignment or transfer WSP shall provide AT&T-21STATE with a minimum of one hundred twenty (120) days advance written Notice of any proposed assignment associated with a Carrier Company Code (ACNA/CIC/OCN) change or transfer of ownership of assets and request AT&T-21STATE’s written consent.

  • The Carrier Company shall report every event of damage and criminal act against property to the relevant MOL facility crew.

  • Participants and Beneficiaries will have no rights against any Carrier Company resulting from participation in the Plan other than as specifically provided herein.

  • Participation in the Plan shall not be construed to constitute a direct or indirect contract of employment between any Carrier Company and any Participant.

  • Any change in CLEC’s name including a change in the “d/b/a”, or due to assignment or transfer of this Agreement wherein only CLEC’s name is changing, and no Carrier Company Code(s) (ACNA/CIC/OCN) are changing, constitutes a CLEC Name Change under this Section.

  • Nothing in the Plan shall be deemed to give a Participant the right to be retained in the service of any Carrier Company for any length of time or to interfere with the right of any Carrier Company to terminate a Participant’s employment.

  • AMC means Annual Maintenance Contract

  • Universal Digital Loop Carrier (UDLC means the DLC system that has a CO terminal channel bank that is connected to the CO switches on the analog side.

  • Network Operator means the network operator who operates the wireless network of networks to which the SIM Cards are connected.

  • Carrier means a person engaged in the transportation of passengers or property by land or water as a common, contract, or private carrier, or by civil aircraft.

  • Renewable Energy Source means an energy source that is not fossil carbon-based, non- renewable or radioactive, and may include solar, wind, biomass, geothermal, landfill gas, or wave, tidal and thermal ocean technologies, and includes a Certified Renewable Energy Source.

  • Sprint means a set period of time during which specific work is realized and made ready for review.

  • ECC means the amount calculated by Contractor for the total cost of all elements of the Work based on this Agreement available at the time(s) that the ECC is prepared. The ECC shall be based on current market rates with reasonable allowance for overhead, profit and price escalation and shall include and consider, without limitation, all alternates and contingencies, designed and specified by A/E and the cost of labor and materials necessary for installation of Owner furnished equipment. The ECC shall include all the cost elements included in the AACC, as defined above, and shall represent Contractor’s best current estimate of the Guaranteed Maximum Price it will propose for the Project based on the information then available. The ECC shall not include Contractor’s Pre-Construction Phase Fee, A/E’s Fees, the cost of the land and rights-of-way, or any other costs that are the direct responsibility of Owner.

  • rail carrier ’ means a person providing common carrier railroad transportation for compensation, but does not include street, suburban, or interurban electric railways not operated as part of the general system of rail transportation;

  • PCC means the Particular Conditions of Contract;

  • Customer Affiliate means an entity that owns or controls, is owned or controlled by or is or under common control or ownership with Customer, where control is defined as the possession, directly or indirectly, of the power to direct or cause the direction of the management and policies of an entity, whether through ownership of voting securities, by contract or otherwise;

  • Interexchange Carrier (IXC means a carrier that provides, directly or indirectly, InterLATA or IntraLATA Telephone Toll Services.

  • Commercial Mobile Radio Services (CMRS) means Commercial Mobile Radio Service, As Defined in the Act and FCC rules.

  • ATC means a measure of the transfer capability remaining in the physical transmission network for further commercial activity over and above already committed uses.

  • Wireless service provider means a person that provides wireless service to the public.
