Calculation Quarter definition

Calculation Quarter means the three calendar month period commencing on the first day of March, June, September, and December of each year.
Calculation Quarter means the three-month period (December through February, March through May, June through August, or September through November) immediately prior to each Quarterly Payment Date. The initial calculation quarter shall be the period from September 1, 1997 through November 30, 1997.
Calculation Quarter has the meaning given in the Intercreditor Agreement. "CLOSING DATE" means September 30, 1997.

  • On each Quarterly Payment Date, Company will pay (or prepay) the principal of the Loans, without premium or penalty, in an amount equal to 100% of ANCF (or such lesser percentage of ANCF, not to be less than 50%, as may be selected by Agent in its sole discretion) for the immediately preceding Calculation Quarter.

  • On each Quarterly Payment Date, Company shall make a principal payment in respect of the Loans in an aggregate amount equal to the product of the Dedication Rate multiplied by the Adjusted Net Cash Flow for the Calculation Quarter applicable thereto, without premium or penalty.

  • Company and its Subsidiaries will not permit their aggregate general and administrative expenses in a Calculation Quarter to exceed the Permitted G&A Expense Amount.

  • In the event any such inspection shows an underpayment to Holder of the NA Net Proceeds Percentage by Company or one of its Affiliates for any NA Calculation Quarter period, Company shall promptly pay to Holder any such amounts plus a Late Payment Charge on such amounts.

  • Calculation Day means any Index Business Day during the Calculation Period on which a Market Disruption Event has not occurred.

  • Fiscal Month means any of the monthly accounting periods of Borrower.

  • Calculation Date means each day on which the Reference Price is published by the Index Sponsor or the Index Calculation Agent, as the case may be.

  • Quarterly Valuation Date means the last Business Day of the last month of each fiscal quarter of the Trust in each fiscal year of the Trust, commencing November 29, 2002.

  • FX Calculation Date means each day on which FX is published by the Fixing Sponsor. "FX Call Event" means each of the following events:

  • Recalculation Date means the Valuation Date that gives rise to the dispute under Paragraph 4; provided, however, that if a subsequent Valuation Date occurs under Paragraph 2 prior to the resolution of the dispute, then the “Recalculation Date” means the most recent Valuation Date under Paragraph 2.

  • Pro Forma Adjusted EBITDA shall have the meaning assigned to such term in Section 3.05(a).

  • Adjusted Leverage Ratio means, on any date, the ratio of (a) Total Debt as of such date to (b) Adjusted Consolidated EBITDA for the period of four consecutive fiscal quarters of the Borrower most recently ended as of such date, all determined on a consolidated basis in accordance with GAAP.
