Buyer Design means any database tape, test tape, design, simulation information, functional specifications, schematics, files of electronic designs, test patterns and other relevant information or documentation prepared by Buyer and licensed to Seller under the Agreement for the purpose of Seller’s manufacturing of the Goods for Buyer

Examples of Buyer Design in a sentence

  • Should the Goods have a defect which causes damage to persons or to property other than such Goods, Seller shall indemnify and hold Buyer harmless for any such damage, except to the extent such injury or damage is caused by a defective Buyer Design used for manufacture of the said Goods.

  • Purchaser Designee means each individual then serving on the Board of Directors pursuant to the exercise of the Purchaser’s rights pursuant to Section 4.07(a) and/or Section 4.07(e), together with any designee(s) of the Purchaser who is then standing for election to the Board of Directors pursuant to Sections 4.07(a) and (b) or who is being proposed for election by the Purchaser pursuant to Section 4.07(e).

  • Buyer has the meaning set forth in the preamble.

  • Purchaser Board means the board of directors of the Purchaser.

  • Sellers has the meaning set forth in the Preamble.

  • SpinCo Designees means any and all entities (including corporations, general or limited partnerships, trusts, joint ventures, unincorporated organizations, limited liability entities or other entities) designated by Parent that will be members of the SpinCo Group as of immediately prior to the Effective Time.

  • Secondary Seller means the Seller whose Bid City selected as a back-up supplier in the event the Primary Seller is unable to provide all the Goods and/or Services required.

  • PSC means the New York State Public Service Commission.

  • RPC means the relevant Regional Power Committee established by the Government of India for a specific region in accordance with the Electricity Act, 2003 for facilitating integrated operation of the power system in that region;

  • Buyer Parent has the meaning set forth in the Preamble.

  • Acquiror Board means the board of directors of Acquiror.

  • Buyer Ancillary Agreements means all agreements, instruments and documents being or to be executed and delivered by Buyer under this Agreement or in connection herewith.

  • Buyer Parties means Buyer, its respective Affiliates and the former, current or future equity holders and Representatives of each of the foregoing.

  • Purchased Services means Services that You or Your Affiliate purchase under an Order Form, as distinguished from those provided pursuant to a free trial.

  • Seller Entities means, collectively, Seller and all Seller Subsidiaries.

  • CCC means Customer Care Centre
