Benefit Plan Partner definition

Benefit Plan Partner. Any Limited Partner that is an “employee benefit plan” within the meaning of Section 3(3) of ERISA (whether or not subject to ERISA), a “plan” within the meaning of Section 4975(e)(1) of the Code (whether or not subject to Section 4975 of the Code) or any Limited Partner investing the assets of any such “employee benefit plan” or “plan”.
Benefit Plan Partner means any Limited Partner that is (a) an “employee benefit plan” (as defined in Section 3(3) of ERISA) that is subject to Part 4 of subtitle B of Title I of ERISA, (b) a “plan” to which Code Section 4975 applies, (c) an entity whose underlying assets include the assets of any such “employee benefit plan” or “plan” by reason of ERISA or the Plan Assets Regulation, as modified by Section 3(42) of ERISA, or otherwise (including certain insurance company general accounts) for purposes of Section 406 of ERISA or Code Section 4975, or (d) a “benefit plan investor” as such term is otherwise defined in any regulations promulgated by the DOL under Section 3(42) of ERISA.
Benefit Plan Partner. Any Limited Partner (or, as applicable, limited partner or other direct or indirect owner of any Feeder Fund or Parallel Vehicle) that is (x) an “employee benefit plan” within the meaning of Section 3(3) of ERISA (whether or not it is subject to the provisions of Title I of ERISA), (y) a “plan” within the meaning of Section 4975(e)(1) of the Code or (z) an entity whose underlying assets include plan assets by reason of the plan’s investment in the entity. For purposes of making the determination referred to in the foregoing clause (z), the value of any equity interests held by a Person (other than an entity described in the foregoing clauses (x) or (y)) that has discretionary authority or control with respect to the assets of the entity or a Person who provides investment advice for a fee (direct or indirect) with respect to such assets, or any Affiliate of such Person, will be disregarded. BHCA: the U.S. Bank Holding Company Act of 1956, as amended (including any modifications made pursuant to the U.S. Xxxxx-Xxxxx-Xxxxxx Act), and other similar banking legislation, and the rules and regulations promulgated thereunder.
