Asset Value definition

Asset Value has the meaning assigned to such term in the Pricing Side Letter.

Asset Value at any date means the fair market value of assets in a Series representing the purchase price that a willing buyer having all relevant knowledge would pay a willing seller for such assets in an arm’s length transaction, determined by the Managing Member in its sole discretion.

Asset Value means, with respect to any property or asset of any Consolidated Company as of any particular date, an amount equal to the greater of (i) the then book value of such property or asset as established in accordance with GAAP, and (ii) the then fair market value of such property or asset as determined in good faith by the board of directors of such Consolidated Company.

Examples of Asset Value in a sentence

• The parties acknowledge the calculation of the intraday “floating” Net Asset Values are subject to the Fund’s policies on as of transactions, NAV error correction, and such other policies that may impact the calculation of a Fund’s Net Asset Value.

• For each Fund requiring an intraday “floating” Net Asset Value, BNY Mellon shall calculate Net Asset Value in the manner specified in the Fund’s Offering Materials at the following two (2) times during a day the Fund is open for subscription and redemption activity; (i) 12:00 PM EST; and (ii) 4:00 PM EST inclusive of the daily distribution factor per share.

• BNY Mellon shall not be required to include as Fund liabilities and expenses, nor as a reduction of Net Asset Value, any accrual for any federal, state or foreign income taxes except as expressly required pursuant to the SLDs or unless the Fund shall have specified to BNY Mellon in Instructions the amount of or formula to compute the same to be included in liabilities and expenses or used to reduce Net Asset Value.

• In the event Price Associates is the party responsible for causing an error in the computation of the net asset value for a Fund or share class of a Fund (“NAV Error”), the actions that are required to be taken as to such NAV Error shall be made in accordance with the Fund’s Net Asset Value Error Correction Policy and Procedures (“NAV Error Policy”).

• For the purpose of determining compensation payable to BNY Mellon, each Fund’s Net Asset Value shall be computed at the times and in the manner specified in the Fund’s Offering Materials.

More Definitions of Asset Value

Asset Value means, with respect to any Asset, the adjusted basis of such Asset for U.S. federal income tax purposes; provided, however, that:
