Asset Value definition

Asset Value has the meaning assigned to such term in the Pricing Side Letter.
Asset Value means, with respect to any property or asset of any Consolidated Company as of any particular date, an amount equal to the greater of (i) the then book value of such property or asset as established in accordance with GAAP, and (ii) the then fair market value of such property or asset as determined in good faith by the board of directors of such Consolidated Company.
Asset Value at any date means the fair market value of assets in a Series representing the purchase price that a willing buyer having all relevant knowledge would pay a willing seller for such assets in an arm’s length transaction, determined by the Managing Member in its sole discretion.

Examples of Asset Value in a sentence

  • Investments in the Trust or any Series or any Class thereof shall be credited to each Shareholder’s account in the form of full or fractional Shares at the Net Asset Value per share next determined after the investment is received; provided, however, that the Trustees may, in their sole discretion: (a) fix the Net Asset Value per Share of the initial capital contribution; (b) impose sales or other charges upon investments in the Trust or any Series or any Classes thereof, and (c) issue fractional Shares.

  • If the Initial Limited Partner repurchases any REIT Shares (other than REIT Shares repurchased with proceeds received from the issuance of other REIT Shares), then the General Partner may cause the Partnership to purchase from the Initial Limited Partner a number of Partnership Units, having the Corresponding Partnership Unit Class designation as the redeemed REIT Shares, with an aggregate Net Asset Value equal to the aggregate gross amount paid for such repurchased REIT Shares.

More Definitions of Asset Value

Asset Value means, with respect to any asset, the asset’s adjusted basis for federal income tax purposes, except as follows:
