Notwithstanding anything to the contrary contained herein, the exercise of the Warrant may require further board of directors (or analogous) approvals or authorizations on the part of Amazon or such subsidiary, as applicable (the “Exercise Approval”).

The Company shall not take any action that would prevent Amazon from exercising any of its rights under this Agreement or any of the other Non-Commercial Documents, or any of the transactions contemplated hereby or thereby (excluding, for the sake of clarity, transactions contemplated by the Commercial Arrangements).
Amazon has been duly incorporated and is validly existing as a corporation in good standing under the laws of the State of Delaware, with the corporate power and authority to own its properties and conduct its business in all material respects as currently conducted.
