• No individual performs any tasks, duties or functions for or on behalf of any Non-Operating Entity (except AILP), whether on a contractual, consulting or independent worker basis or otherwise, which could give such individual the right to claim any right or status as an employee of such Non-Operating Entity pursuant to any Applicable Law.

• If the amount of the Proper Currency which a Lender is so able to purchase is less than the amount of the LEGAL_1:83363388.10 RBC – AltaLink (AILP) – 2024 Amended and Restated Credit Agreement Proper Currency originally due to it, the Borrower shall indemnify and hold such Lender harmless from and against all losses, costs, damages or expenses which such Lender may sustain, pay or incur as a result of such deficiency.
