Acquirer Common Stock definition

Acquirer Common Stock means the Common Stock, par value $0.001 per share, of Acquirer.

Acquirer Common Stock means the Common Stock of Acquirer.

Acquirer Common Stock means, with respect to a Public Acquirer Change in Control, such acquirer’s or other entity’s class of common stock (or depositary shares or receipts in respect thereof) traded on a United States national securities exchange or quoted on the NASDAQ Global Market or NASDAQ Global Select Market or which will be so traded or quoted when issued or exchanged in connection with such change in control.

Examples of Acquirer Common Stock in a sentence

• The registered shares of Public Acquirer Common Stock, or the shares of Public Acquirer Common Stock registered for resale, as the case may be, shall be listed, or approved for listing subject only to the official notice of issuance, on a national securities exchange or the Nasdaq National Market.

• Upon a Public Acquirer Fundamental Change, shares of Public Acquirer Common Stock shall be subject to the conversion adjustments in Section 10 hereof.

• Acquirer shall also take any action required to be taken under applicable state blue sky or securities laws in connection with the issuance of shares of Acquirer Common Stock pursuant to this Agreement.

• In lieu of any fractional shares of Acquirer Common Stock to which any Converting Holder would otherwise be entitled (after aggregating, for each particular stock certificate representing Company Capital Stock, all fractional shares of Acquirer Common Stock to be received by such holder), such Converting Holder shall receive from Acquirer an amount in cash (rounded to the nearest whole cent) equal to the product of (i) such fraction and (ii) the Acquirer Stock Price.

• The outstanding shares of Acquirer Common Stock are listed for trading on the NASDAQ.

Acquirer Common Stock has the meaning set forth in Section 6.3(a).

Acquirer Common Stock means the Common Stock, par value $0.0001 per share, of Acquirer.

Acquirer Common Stock shall have the meaning set forth in the definition of “Public Acquirer Change in Control”. “Acquisition Value” of the Common Stock means, for each Trading Day in the Valuation Period, the value of the consideration paid per share of Common Stock in connection with a Public Acquirer Change in Control, (i) for any cash, 100% of the face amount of such cash; (ii) for any Acquirer Common Stock, 100% of the Closing Sale Price of such Acquirer Common Stock on each such Trading Day; and (iii) for any other securities, assets or property, 102% of the fair market value of such security, asset or property on each such Trading Day, as determined by two independent nationally recognized investment banks selected by the Trustee for this purpose.

Acquirer Common Stock shall have the meaning set forth in the definition of “Public Acquirer Change in Control”.

Acquirer Common Stock shall have the meaning set forth in the Merger Agreement.

Acquirer Common Stock means an acquirer's or Beneficial Owner Entity's class of common stock traded on a national securities exchange or quoted on the Nasdaq National Market or which will be so traded or quoted when issued or exchanged in connection with a Fundamental Change.

Acquirer Common Stock shall have the meaning given such term in the Recitals hereof.
