Xxxxxning Law. This Agreement shall be governed by and construed in accordance with the laws of the State of New York.

Borrower hereby irrevocably submits itself to the non-exclusive jurisdiction of the state and federal courts of the State of Colorado.
Xxxxxning Law. This Note shall be governex xx xxx xxxxxrued in accordance with the internal laws of the State of Texas, without giving effect to the choice of law provisions. This Note shall not be interpreted or construed with any presumption against the party causing this Note to be drafted.
