Title & Organization. Mortgagor represents and covenants that: (a) Mortgagor has fee simple title to the Premises and good indefeasible title to the balance of the Mortgaged Property, free and clear of liens and encumbrances, except as set forth in Exhibit C attached hereto and made a part hereof (collectively, the “Permitted Encumbrances”); (b) Mortgagor has full power and lawful authority to give, grant, bargain, sell, confirm unto, assign, transfer, grant a security interest in and encumber the Mortgaged Property in the manner and form herein set forth; (c) this Mortgage is and will remain a valid and enforceable first priority lien on, and security interest in, the Mortgaged Property and Mortgagor will preserve such title and will forever warrant and defend the same and the validity and priority of the lien hereof to Mortgagee against all claims whatsoever; (d) Xxxxxxxxx maintains its chief executive office at the location set forth in the opening paragraph above, and Xxxxxxxxx will notify Mortgagee in writing of any change in its chief executive office within five (5) days of such change; (e) Mortgagor’s state of incorporation, organization, or formation, if applicable, is as set forth in the opening paragraph above; and (f) Mortgagor is the owner of the Collateral subject to no liens, charges or encumbrances other than the lien hereof.
