DUE ORGANIZATION. AUTHORIZATION: DUE EXECUTION. Seller is a limited partnership, duly organized and validly existing under the laws of the State of Texas. Seller has full power and authority to execute and deliver this Stock Purchase Contract and to perform its obligations hereunder and to consummate the transactions contemplated hereby.
