The Option Price Sample Clauses

The Option Price. The Option Price is One-Hundred-Thousand-Dollars ($100,000) payable to Grantor upon execution of this Agreement.
The Option Price. The purchase price of the shares of Common Stock issuable upon exercise of the Option is the price specified in the Notice of Grant, subject to adjustment as provided in the Plan (the “Option Price”), which price is agreed to be not less than the Fair Market Value of the shares of Common Stock on the Date of Grant.
The Option Price. If Holder delivers a Notice of Exercise as to less than all of the Option Shares, the Option will expire without further action to the extent then unexercised unless such Notice of Exercise is given in respect of a transaction referred to in Section 7.3 or 7.4, in which event the Option may be exercised in part (to the extent that Option Shares are included in any such transaction) and will remain in effect in accordance with its terms with respect to the unexercised portion thereof.
The Option Price. All such adjustments shall be made in the sole discretion of the Committee, and its decision shall be binding and conclusive.
The Option Price. Except as provided in Section 7, the exercise price ---------------- of the each option shall be not less than the per share fair market value of the Stock subject to such option on the date the option is granted. Notwithstanding the foregoing, in the case of an incentive stock option granted to a person possessing more than ten percent of the combined voting power of the Company or an Affiliate, the exercise price shall be not less than 110 percent of the fair market value of the Stock on the date the option is granted. The exercise price of an option shall be subject to adjustment to the extent provided in Section 3(b), above.
The Option Price shall be payable (a) in cash in the form of currency or check or other cash equivalent acceptable to the Company, (b) by transfer to the Company of nonforfeitable, unrestricted Common Shares that have been owned by the Optionee for at least six months prior to the date of exercise or (c) by any combination of the methods of payment described in Sections 4(a) and 4(b) hereof. Nonforfeitable, unrestricted Common Shares that are transferred by the Optionee in payment of all or any part of the Option Price shall be valued on the basis of their
The Option Price. The price payable by the Purchaser for Shares specified in an Exercise Note shall be the Sterling Equivalent of US$2.10 per Share on the date of the relevant Exercise Note.
The Option Price. The price payable by the Subscriber for the Shares shall be the sum of $1.38 per share, subject to any Adjustment.

  • Option; Option Price Effective on the Grant Date, on the terms and subject to the conditions of the Plan and this Agreement, the Company hereby grants to the Optionee the option (the “Option”) to purchase Shares at the price per Share (the “Option Price”) and in the amount set forth on the signature page hereto. To the extent permitted by the Board, payment of the Option Price may be made in any manner specified by Section 5.6 of the Plan. The Option is not intended to qualify for federal income tax purposes as an “incentive stock option” within the meaning of Section 422 of the Code.

  • Payment of Option Price Options, to the extent vested, may be exercised, in whole or in part, by giving written notice of exercise to the Company specifying the number of Common Shares to be purchased. Such notice shall be accompanied by the payment in full of the aggregate Option Price. Such payment shall be made: (i) in cash or by check, bank draft or money order payable to the order of the Company, (ii) through a cashless exercise whereby the Company reduces the number of Common Shares issuable upon exercise with a value equal to the aggregate Option Price and withholding obligation, (iii) solely to the extent permitted by applicable law, if the Common Shares are then traded on an established securities exchange or system in the United States, through a procedure whereby the Participant delivers irrevocable instructions to a broker reasonably acceptable to the Committee to deliver promptly to the Company an amount equal to the aggregate Option Price or (iv) on such other terms and conditions as the Committee may permit, in its sole discretion.

  • Certificate of Adjusted Exercise Price or Number of Shares Whenever an adjustment is made as provided in Sections 11 and 13 hereof, the Company shall promptly (a) prepare a certificate setting forth such adjustment and a brief statement of the facts accounting for such adjustment, (b) file with the Rights Agent and with each transfer agent for the Preferred Shares a copy of such certificate and (c) mail a brief summary thereof to each holder of a Rights Certificate in accordance with Section 26 hereof. Notwithstanding the foregoing sentence, the failure of the Company to make such certification or give such notice shall not affect the validity of such adjustment or the force or effect of the requirement for such adjustment. The Rights Agent shall be fully protected in relying on any such certificate and on any adjustment contained therein and shall not be deemed to have knowledge of such adjustment unless and until it shall have received such certificate.
