TERRITORY EXCLUDING THE UNITED STATES. Schering, at its own expense, shall be responsible for preparing and filing Drug Approval Applications and seeking Regulatory Approvals for the Product in all countries in the Territory wherein Schering determines it is commercially reasonable to do so, excluding the United States, including preparing all reports necessary as part of a Drug Approval Application. In the event that any regulatory agency threatens or initiates any action to remove a Product from the market in any country in the Territory, Schering shall notify Alliance of such communication within two business days of receipt by Schering.
