TERMINATION FOR CAUSE BY OPERATOR. 14.3.1 Parking Operator has no right to terminate this Agreement for convenience. Parking Operator may terminate its performance under this Agreement only if (i) the City defaults and fails to cure the default after receiving notice of it in accordance with this section and (ii) Parking Operator is not in default. Default by the City occurs if the City fails to observe or perform any of its material duties under this Agreement. If a default occurs and the Parking Operator decides to terminate the Agreement, Parking Operator must deliver a written notice to the Director describing such default and the proposed date of termination. The date must be at least 60 days after the Director receives notice. Parking Operator, in its reasonable judgment, may extend the proposed date of termination to a later date. If the City cures the default before the proposed termination date, then the proposed termination shall be ineffective. If the City does not cure the default prior to the proposed termination date, then Parking Operator may terminate its performance under this Agreement on the termination date.
